The secretary of Messrs William Hancock and Co., Limited, Phoenix Brewery, Cardiff, underrate 13th inst., has issued a circular letter which states By the instructions of-the Board I be to advise yon that your directors have purchased tbe, County Brewery, at Cardiff, and the properties connected therewith the purchase was made upon terms which are advantageous to the com- pany it will enable them to concentrate their Cardiff business, and thereby effect a considerable saving in expenses. It now becomes necessary to make financial arrangements in connection with this purchase, and the directors deem it a favour- able opportunity for the rearrangement of the Debenture Stock of tha companj, which was doggested to yon at your last annual meeting. The existing Debenture Stock is £ 40,000, bearing in- terest at the rat. of 4-Va per cent. per annum. The directors propose to extingnish tbisstockaudcreate £ 200,000 new stock,-bearing interest afc the reduced rate of 4 per cent. par annum, with which the 4% per cent. stock and the existing mortgages, amounting to 942,760, would be discharged the remainder of the new slock would then be avail* able for the purchase of the County Brewery and for the genaral purposes of tho company. The directors recommend this course -is being in the bisst interests of th* company, and while respect- fully asking for your support they would remind you that the new stock would tak-e the place of present Debenture Stock and mortgages at a lower rltt of interest, and that the additional expenditure would be more than met by extra profits. In order to give effect to the above- named propoeition, it will be necessary to alter the Articles of Association in accordance with the accompanying noticf. The accompanying notice announces that a meeting of the members of the company will be held on the 22nd inst. for the pur- pose of considering, and if thought fit, pass- ing the following resolution That the Articles of Association be altered by striking out article 52, and substituting the following article in lieu thereof The directors may from time to.tim e/a. their discretion, raise or borrow mouey for the general purposes of the company, and may raise or secure the repayment of such moneys in such manner and upon such terms and conditions as to rate of interest, price of repayment and otherwise, in all respects as Jhey may think fit, and in particular by the issue of Debentures or Debenture Stock of the com- pany, or both, provided that the amount repre- sented by Debentures or Debenture Stock shall aot at any time without the sanetion of a general meeting exceed £ 200,000. Should the foregoing resolutions be duly passed, they will be submitted for confirma- tion at a subsequent meeting, when a resolu- tion will also be submitted authorising the directors to create and issue 2200,000 4 per Cent. The list of applications for shares in the Ramsgate Marina, Pier, and Lift Company, Limited, will close to-day (Friday) for town and to-morrow (Saturday) for the country. Madsen's Patent Food Company, Limited, is the style of a new company formed for the purpose of acquiring the patent rights and plant held by Herr Hans Peder Madsen, and for supplying his patent food for cattle, horses, sheep, pigs, poultry, pheasants, dogs, and other animals on a larger scale. This food has been manufactured in Denmark for some considerable time, where. it is in general demand and on the opening of a factory in London, which also comes into the hands of the company, the business has increased at a rapid rate. Such eminent authorities as Prof. Attfield, London, and Prof. Stein, Copenhagen, have analysed the preparation and pronounced it to be exceptionally nutritive. The capital of the company, open to public subscription until Saturday next, is £ 100,000 in shares of £ 5 each. The vendor, who takes one-third of the allotment as part purchase money, declares the cost of production to be small, and as there is reasonable guarantee of a large sale, attention of investors is directed to the prospectus appended in another column. With a nominal capital of £ 100,000 in £ 1 shares, of which only 18,000 are being offered for subscription, the Murchison United Gold Mines Company has been formed to acquire from the British Coolgardie Prospecting Syndicate, Limited, two gold mining leases known as the Lily and the Campania, with a joint area of 12 acres, near Cue, in the Murchison Goldfields. The property has been developed and proved by the present vendors, who have tixed the price at £ 50,000, of which E13,000 is to be in cash and the balance in shares aud it is worth noting that the reports as to the yield of gold are based upon crushings, and not mere assays of samples. From the Lilt Mine 180 tons averaged over 3oz. of gold per ton, while 50 tons from. thepania averaged newijIt^is *fctfifd,J;hafc since the prospectus (which may be found in our advertisement columns) was prepared an additional and valuable claim has been acquired by the vendors which will be handed over to the company for a nominal consideration. The working capital should be ample as issued, and reserved, it will amount to one-half the total capital. The prospectus of the Nugget Exploring Company, Limited, will be found in another part of this issue. It is a company formed with a capital of £ 60,000 in 240,000 shares of 5s to prospect and acquire lands, mines, mineral rights, and other interests in land, concessions, rights of timber, and other property in the Colony of Tasmania and elsewhere, and to improve, cultivate, work, and develop the same, and to deal in the produce thereof to carry on generally the business of an exploring company." The present owners of the various pro- perties are content to accept fully paid up shares for the entire purchase price asked, thereby giving undeniable proof of their confidence in the results which they consider will be obtained after efficient machinery is erected. The list will open this day (Friday), and close for London on Monday and the country on Tuesday next.
