The nurpose for which this Company is formed is that of Establishing high-class Liberal, National and Undeuominational Newspapen, one to be conducteli in Welsh aad the other in English aud carrying on the business of Newspaper Proprietors, Printers, Publishers, Adver- tising Agents, c., in North and SoothjWales. To facilitate the'above objects arrangements have alteady been made whereby the Genedi Gumreio a Welsh Paper, and North Walet Express, an English P4per, published at Carnarvon, and the Batsir Observer, an English Paper published at Bangor, have been secured on reasonable terms. It Is intended that the above-mentioned English Papers BhaU be incorpor- ated. The Proprietors of the Gentdl, Express, and Observer retain a great number of Shares in the Company. Newspaper Properties freqw4tly entail the sinking of considerable capital before they begiri to pay, but as the above ate already well- established Newspapers, there is every prospect of the Company's Shares, becoming a prolitable investment almost from the outset, so that probably only a 811'1111 portion of the capital need be called up. The want of tkoroughly outspoken Liberal, National, and unsectarian Newspapers has long beet felt in Walea. That the papers published by the Welsh National Newspaper Co., Limited, will be of this character, the names of the Directors are a sufficient guarantee. The papers shall be managed by from 12 to 15 Direotors, elected out of and by the Share- holders, but in such a manner as to comprise three of each of the following denominations. viz.: Calvlnistic Methodists, Independents, Wesleyans, and Baptists, and in addition not more than three unconnected with any of the above denominations. A clause securing this equal representation is inserted in the Memorandum and Articles of Association. The voting power shaU be as follows -Not exceeding 2 Shares, 1 Vote; labeve 2 and not exceeding S Shares, 2 Votes; and 1 additional Vote for every 5 Shares above 5 Shares. Bach Director when Voting in that capacity shall have only one Vote, and the Chairman a Casting Vote. As near as oaa be one-third of the Direotors to go out of office annually.
