PROSPECTUS. ?MroTbe purpose for which this Company is formed is that of Establishing high-class Liberal, National, and Undenominational Newspapers, one to be conductod in Welsh and the other in English, and car. rying on the business of Newspaper Proprietors, Priaters, Publishers, Advertising Agents, &c., in North and South Wales. To facilitate the above objects arrangements have alreadv been made whereby the Geneil Gymreig, a" Welsh Paper, and North Wales Express, an English Paper, published at Carnarvon, ana the Bangor Observer, an English Paper published At Bangor, have been secured on reasonable terms. It is intended that the above-mentioned English Papers shall be incorporated. The Proprietors of the Genedl, Express, and Observer retain 'a preat number of Shares in the Company. Newspaper Properties frequently entail the sinking of considerable capital before they be. gin to pay, but as the above are already well. established Newspapers, there is every prospect of the Company's Shares:becoming a profitable investment almost from tile outset, bo that probably [only a small portion of the capital need be called up. The want of thoroughly outspoken Liberal, National, and unsectarian Newspapers has long beea felt in Wales. That the papers published by the Welsh National Newspaper Co., Limited, will be of this character, the names ofthe)Directore are a sufficient guarantee. The papers shall be managed by from 12 to 15 Directors, elected out of and by the Shareholders, but in such a manner as to comprise three of each of the following denominations, viz.: Calvinistic Methodists. Independents, Wesleyans, and Bsptists, and in addition not more than three unconnected with any of the above denominations. A clause securing this equal representation is inserted in the Memorandum and Articles ofJAesociation. The voting power shall be as followsNot exceeding 2 Shares, 1 Vote; above 2 and not exceeding 5 Shares, 2 Votes; and 1 addttional Vote for every 5 Shares'above 5 Shares.} Each Director when Voting in that capacity shall have only one Vote, and the Chairman a Cast- Ing Vote. As near as can be one-third of the Directors to go out of office annually. Not more than one of "any denomination to go out ofofficen any one year, the one-third of each denomination getting the lowest number of votes to retire at the end ot tne nrst year, ana the one-third getting the second lowest number of votes to go out at end of the second year. The Directors are not paid for their services before the 'Company is in a position to pay 5 per cent. dividend, and then only such sum as shallbe fixed by the Company in General Meetings. As more than half the shares have alreaiy been taken up, the Company feel confident to com- mence operation at once. The agreements entered into are the following, vizAn Agreement d«tedthe9th day of Augnsfc, 1884 and made between Devid William Davies, the propjjetor of the Gt iudl Synrnig, of the cue part, and William John Williams of the other part; an agreement dated the 12th diy of August, 188,1, and made between Thomas Jones, Thomas Lewis, William John Parry, Morgan Richards, Thomas Charles Lewis, Corbet Yale, and Edward Morgan Jones, the proprietors of the Bangor Obaerver, of the one part, and the said William John Williams of the other part; and an aereement dated the 22nd day of August, 1881, and made between John Hnmphteys, David Edwards, and Richard Diggle Haworth, the proprietors of the North Waies Express, of the one part, and;fthe said William John Williams of the other part.
