ABRIDGED PROSPRCFUS. This Company has been formed to at'quire the exclu- sive tinht?. tr? from R'?-a)ty.{m Great Britain, Ireland, aud the whole of Continental ¡,u, ill Edison's valuable Phonographic Patents, as applied to Toys, Dolls, and Automatic Figures of every description, together with similar exclusive rights in Jacques various Patented Improvements in Phonographs and Dolls, and in the combination thereof to produce Talk- ing Dolls, aud lor the manufacture aud supply of the same. The Phonographic Apparatus Is capable of a great variety uf adaptations to l'o.vs generally, and to Speak- ing Automata for use in Bar Rooms, Restaurants, C, gar Shops, an i Show Rooms of all kinds, to call the atten- tion of customers to particular articles, As applied to talking 1). lis, an immense aud lucrative field exists, and the Directors are convinced that from this source the earnings of the Company will provide for an excep- tionally laTt(t! dividend. H)p fid" for advertising by means of Automatic Talking Figures Is praetiea)!.y tonitteM. The idea of utJiising the Phonograph—probably Edi>on's most marvellous achievement—in the produc- tion of Talking Dolls natiiially suggested itself to his mind. and a corporation for their IIllUlufactur6 WM formed in 1889 in the United States, known as The Edison Phonograph Tov Manufacturing Company. This I ompany, although practical working was only com- menced during the course of last year, the Directors are informed, has proved most successful, the chief diffi- culty experienced being au inability to meet the rapidly growing home demand. During 1889, and the present year the American Company has received a very large number of letters from Europe, inquiring as to Agencies. prices tor Kiglits, Patents. «c. lhis Company has received offers from Germany, Hollan l, Belgium, Denmark. Austria, Italy, Switzer- land, and other Countries,a'king for Agencies, and offer- ing to place very large orders, from 150,000 per anuuin downwards, the whole of which will receive the con- sideration of the Directors. A Contract has already been entered into for France with a responsible Agent, who undertakes to purchase 100,000 for the that year and 50,000 for each of the four eusilitig years, at a minimum royalty of 4s. per Doll. the benefit of which Contract will be transferred to this Company. The portion of the Edison Talking Doll containing the phonographic apparatus is made of till, and the phono- graphic cylinder is contained within the body. On being wound up with a key, the Doll repeats a Nursery Rhvine, or some other well known saying; in short, the Dolls can be made to recite, sins, whistle, or pra- (iuce any sound, depending upon that i,rigin liv sup- plied to the P?oviogmph. The articulation is remArk. I\II!y distinct. It is obvious that the application of this invention to wax figures, &c., will fllrllla great RtlrlltionalattrRction t > Waxwork Exhibitions aud Museums. The sale of the "Mamma and Papa" Doll, hitherto the nearest approach to speech in a mechanical figure of this kind, has been extraordinary, and it is reasonable to ant icipate for the Edison Talking Doll." not only a preference over the Mamma and Papa" Doll, but over every description of Silent Dolls, for which the demand is almost incredible. At a low estimate, the manufacture and sale of Dolls in Kmope, of all sizes, exceeds 2b.000.C00 per annum. Of these, the Doll known as of Standllrd" size, being the most suitable for the application of the Phonograph Apparatus, probably represents a' least 5,000,000. Jumeau, of Paris, alone makes 2,000 Dolls a day, neitrly all of "Standard" size, and there aro many other European houses making large numbers. Last year France exported Toys to the value of 79,000,000 irancs, Dolls representing the greater portion of this sum. Germany also manufactures and exports immense num- bers of Dolls, and Spain, Austiia, and Russia are all extensive Doll-buying cotititi its. The Co:npany does not at present contemplate enter- ing into competition with Doll and Automatio Toy Niakers. but proposes merely to supply them with the "bodies," coiitainilig tile Piioiliogriipli Meeliaiiism, at a price which, while leaving this Company a handsome prolit, will, nevertheless, enable the wholesale manufac- turers to supplv the complete Talking Doll to the retail trade at a remunerative figure for sale to the public. Talking Dolls of the ordinary type are actually selling to the public in America from 7dols. to 8dols. (£1 9s. 2d. togll 6J.). In Europe, the same Doll cuuld he offered for JEl 5s. to the public, and leave all ample margin of profit to the manufacturer, t,o the retail dealer, and to this Company, on the basis of a supply to the Doll manufacturer of "bodies," at 12s. a piece, the cost of production to the Company being about 7s. each. From the information in their possession, the Directot-sare of opinion that a Speaking Doll, of a superior description, would readilv sell tor £3 to 94. It is confidently expected that not less than 1,000,000 Talking Dolls will, when the Company is in a position to supply, be disposed of in the course of a year but, assum ing the manufacture aud sale of only one-half, or 500,000, this would represent, at a net oroiit of no m -re tikitti Is. eiieti, a yearl), 1 iofit of £ 100,000. or equivalent to over 30 per cent, on the Capital of the Company, without regard to any receipts that may be derived from the sale of foreign rights, or from the application, on royalty or otherwise, of the Phonograph to other descriptions of Toys, Automatic Figures, otc, As it is al,licip-tel that the bu-iness transactions of he Company will develop to an enormous extent, it is believed that it will be advisable, if not absolutely necessary, to form subsidiary Companies for the pur- pose of disposing of certain portions of the Company's i ights. The price to be puld by the Company for the property to be acquired, i.e., the Edisou and Jacques' Phono- graph rights and privileges for the whole of Ewrope, as applied to Toys, Do: Is. and other figures, as already set forth in this Progpectii". is iC270,000, payable as to i'lOO.OOi) in cash, as to £ 170,C0J in csh llr shares, «s the Directors may determine. 'Ihe C nipauy willlbus have a working Capital of £ 30,000, which is considered ample, as the Company does not at present propose to manufacture, and no allotment will tilke place that does not provide for such amount. The folloy, ing contracts have been entered into A Contract, dated the 9th day of July, 1890, between the Edison Phonographic Toy Manufacturing Company, uf Boston, Massachusetts, in the United Statt's of America, by their Agent, of the one part; aud Ha'ry Parminter, of 27.
