UPWARDS of forty years have elapsed since LJ a new Banking Company was established for the express purpose of affording direct banking facilities for North and South Wales, and durin- that period the population, wealth, and general trading operations have more than trebled. It has been matter of suprise that no additional banking accommodation has been provided to further develope the resources of these important districts. Whilst there is a Bank of England, a Bank of Ireland, and a Bank of Scotland, there is no National Bank for the Principality. The Head Office of the Bank will be in Manchester, as being one of the chief centres of commerce, and having large business connections with North and South Waies.^ Hitherto, no direct banking communication has existed between North and South Wales and Manchester, hence the necessity for this Bank. The establishment of Joint Stock Banks in various parts of the United Kingdom has been followed by great success, and the shares of such companies com- mand high premiums. Lj 8 0 8 23 0 0 220,Oi 0 Although the Capital of the National Bank of Wales has been fixed at £ 1,000,000, in 50,000 Shares of £ 20 each, it is proposed at first to issue 10,000 Shares at par; subsequent issues will be at such premiums and at such times as may be thou-ht expedient. It may not be requisite to call up a greater amount than £ 10 per Share thus leaving a large capital uncalled, which will form a sound guarantee LO depositors and custo- paers. se In settling the Articles of Association, the Provi- sional Committee have been guided by the experience of the most successful modern banks. Powers have been taken to carry on every safe form of banking, so as to secure a fair return upon the capital invested. It is intended to conduct the business so that every trader, however small his transactions, and every trading enterprise, shall be encouraged. The Articles of Association stipulate that no Divi- dend on the Snares beyond Five per Cent. per annum shall be paid, until a Reserve Fund has been created, amounting to at least one-fifth of the paid-up Capital. And also that no Director shall overdraw his Account, and that no Overdraft shall be allowed to any customer of the Bank, beyond a maximum amount, without the sanction of the Board of Directors. Periodical Audits will be rigidly erforced, and every Yearly Audit shall be under the supervision of an in- dependent Auditor, nominated by the Shareholders. The National Bank of Wales possesses an advantage over some of the existing leading Banks in Wales, from the fact that the liability of each Shareholder in this Bank is strictly limited by Lavi to the amount sub- scribed for. The Provisional Committee wish to call special atten- tion to the fact that the banking business of the country is fast passing from the hands of Private Bankers to that of Joint Stock Companies. Arrangements have been made to commence im- mediate operations in Manchester and the principal towns of North and South Wales, and the promises of support already received warrant the Provisional Committee in anticipating a large and profitable business. It is well known that those who are interested in the prosperity of a bank, not only carry on their own business with such bank, but exert themselves to pro- mote its general prosperity. The nominal value of the Shares has been fixed at such a sum as to enable all customers to become partners in the Bank. The Provisional Committee have offers of several suitable sites for BANKING premises. Applications for Shares to be made upon forma, and IORWARDED to the Solicitors. PROSPECTUSES AND FORMS OF APPLICATION MAY BE HAD FROM THE SOLICITORS AND THE AUDITORS, FROM WHOM ALL information MAY be OBTAINED. The only Contract entered into on behalf of the Com- pany is dated 20th December, 1878, and is made between Charles Pitt, junior, of the one part, and William Walker, as agent for and on behalf of the Company, of the other part.
