PROSPECTUS" TTPWAPvDS cf forty years have f'artspd since l_J a new Banking- Company vras established for the express purpose of affording direct banking facilities for North and South Wales, and uurin, that period the population, wealth, and general trading operation* have more than trebled. It has been matter of suprise that no additional banking accommodation has been provided to further develope the resources of these important districts. Whilst there is a Bank of England, a Bank of Ireland, and a Bank ef Scotland, there is no National Bank for the Principality. Tha Head Office of the Bank will be in Manchester, as being one of the chief- centres of commerce, and having large business connections with North and South Wales. Hitherto, no direct banking communicatioa has existed between North and South Wales and ,ic, Manchester, hence the necessity for this Bank. The establishment of Joint Stock JiaMts in various parts of the United Kingdom has been followed by great success, and the eh area of such companies com- mand high premiums. It may not be requisite to ca'i up a greater amount thi,n £ 10 per Share thus leaving a large eapitai uncalled, which will form a sound guarantee 1.0 depositors and custo- mers. In settling the Articles of Association, the Provi- sional Committee have been guided by the experience of the most mucotiiful modern banks. Powers have been taken to carry on every safe form of banking, so as to secure a fair return upon the oapital invested. It is intfcnded to conduct the butiness so that every trader, however small his transactions, and every trading enterprise, shall be encouraged. The Articles of Association stipulate that no Divi- dend on the Snares beyond Pive p?r Cent. per annuat shall be pa!d, until a lisserve Fund has been created, amounting to at least one-tifth of the paid-up Capital. And also that no Director shall overdraw his Account,, and that 110 Overdraft shall be allowed to any customer of the Bank, beyond a maximum amount, without the sanction of the Board of Directors. Periodical Audits will be rigid,17 er forced, and every Yearly Audit shall be under the supsrvision of an in- dependent Auditor, nominated by" the Shareholders. The National Bank of Wales possesses an advantage over some of the existing leading .tanks in Waxes, from the fact that the liability of each Shareholder in this Bank is strictly limited by Law to the amount sub- scribed for. The Provisional Committee wish to call special atten- tion to the fact that the banking business oi the country is fast passing from the ha'.ds of Private Bankers to that of Joint Stock Companies. Arrangements have been made to commence im- mediate operations in Manchester and the principal towns cf North and South Wales, and the promises of support; already received warrant the Provisional Committee in anticipating a large and profitable business. It is w.11 known that those who are interested in the prosperity of a bank, not only curry on their ow. business with such l ank, but exert t'œheri to pro- mote its general prosperity. Tal: nominal value of the Shares has been fixed at sucn a sam as fa5 enable all customers tc become partners in he Bani. The Provisional Committee have oifara of several suitable sites for banking premises. Applications for Shares to be made upon forms, and lorwarded to the Solicitors.
