In presenting to the Proprietors their Thirty-fifth Annual Report, the Directors trust, that, notwithstanding the long continued prostration of trade, the results of the year will prove satisfactory. The Panic which commenced in May, 1866, occasioned a severe fall in the value of all Securities, and a depression in the trade of the country which for extent and duration have been almost without a parallel. The deficient harvest of 1866 tended materially to increase the evil, and added to the difficulties of the manufactur- ing and working classes.. On the 1st January 1867, the Bank rate for money was zC". 10s. per cent., but by three successive steps the rate was reduced to 2 per cent. on the 25th July, at which it has ever since remained. The average value of money for the year was JE2 10s. 9d., against £ 6 18s. in 1866. Owing to the low value of money the profits of the past year were necessarily less than in the previous year; but, notwithstanding these adverse circumstances, the progress of the Bank has been steady and con- tinuous. The Shareholders were last year informed that the great and important measure of carrying on the business of Bankers in London, as well as in the country, had been accomplished with most satisfactory results, and the Directors have again, at the end of a second year, to report that the new branch of business has greatly enhanced the standing and prosperity of the Bank. CRAWSHAY BAILEY & Co., at New- Port, Monmouth and Abergavenny, under arrangements highly beneficial to this establishment. Mr. CRAWSHAY BAILEY, from his advanced years, felt desirous of curtailing his business engagements, but he and his late Partner, Mr. GRATREX, at Newport, will continue for a time to give the benefit of their services as Local Directors at these places. The Directors take this opportunity of tendering their best thanks to the numerous customers of Messrs. BAILEY'S Bank, for the ready and cordial support which, almost without exception, they have given to the National Provincial Bank on the Transfer. The Directors in their report in May, 1866, stated the hardship imposed upon the Bank of relinquishing its right of issue, without receiving the compensation they relied upon having under the provisions of the Act of, 1844, but they expressed their hope that the equity of their case would yet receive due consideration. They have, therefore, drawn up a memorial reciting the whole facts of the case, which has been submitted to Her Majesty's Government, and which they trust will be favourably entertained. It is with feelings of deep regret that the directors have to announce to the Proprietors the death of JOHN MINET LAURIB, Esq,, who for a period of nearly 20 years presided at the annual meetings of the Bank. By this event the Directors have lost an able and esteemed colleague, and the Bank one of its best supporters. The Directors have also to announce, with much regret, the retirement of Mr. ALEXANDER ROBERTSON from the position of Joint-General Manager, in consequence of his general health requiring greater rest, after a period of upwards of 33 years' service in the Bank. The Directors have recognised Mr. ROBERTSON'S long and able services by awarding him a liberal retiring allowance, by and unanimously inviting him to become a candidate for the seat in the Direction vacant by the death of Mr. LAURIE. Mr. ROBERTSON, being duly qualified, has offered himself as a candidate, and, if elected, the Directors hope to secure to the Bank the benefit of his banking experience for many years to come.. „ w The Directors have appointed Mr. WILLIAM HOLT to be Joint-General Manager with Mr. EDWARD ATKIN- SON, now senior officer. Mr. HOLT entered the Bank's employment in the year 1835, and for many years;served the Bank most efficiently as an Inspector of Branches, more recently as Chief Inspector of Branches, and for the last two years as City Manager, and the Directors believe that they have selected a highly valuable and efficient officer as successor to Mr. ROBERTSON. ,r. In addition to the Phosphates, this manure contains Ammonia equal to about 17 per cent, of the Sulphate; the demand for this is rapidly extending, and its use is recommended for trial against Peruvian Guano, either for Corn or Grass crops; for Wheat it should be applied at the rate of two cwt. per acre with the sead, £ &d a top dressing of two cwt, more in the spring; for Barley and Oats, about three cwt. should be used and harrowed in with the seed. iCS Per Ton. CONCENTRATED GRASS MANURE. This manure is recommended as a most economical one for either Grass or Corn, two cwt. per acre being sufficient to employ, and on this account it is preferable to the lower priced manure at Xg. THIS Company has been formed for the purpose of taking over the KILMOREY and SOUTH KILMORET LEAD MINES, which have been worked under the cost book system, and of raising, with the advantages of limited liability, the necessary capital to efficieatly de- velope the same the sets adjoin, comprise an area of 66a. 3r. 14p. and are situate in the Township of Brynfotd, in the Parish of Holywell, in the centre of the Flintshire Mining District; they skirt the coal formation, which is considered the most desirable and; certain position for Lead deposits, and both sets have yielded large returns of Ore at comparatively shallow depth. The late proprietors had expended up to the 7th: August, 1866, (when the turn-over of the Mines dates from) irrespective of monies received from ore sold upwards of £ 4350, as may be seen by reference to. their books, which are open to the inspection of in- tending Shareholders; it has been arranged for this Company to take over the Mines, frfem the 7th Aiiguist, 1866, as a going concern, with plant and everything as it stands, at the price of £ 4475, this Company pay- ing the expenditure since the 7th August, 1866, amounting to about £ 450; and the old Shareholders having full confidence in the valua of the Mines, have agreed to take the whole JE4475 in Shajes, namely, 895 Shares, of S5 each, fully paid. The preliminary contract with the old Companies is dated the 31st day of, March, rmlS, and made between the Kilmorey Mine Company and the South Kilmorey Mine Company of the one part, and William Clove Hunt on behalf of this Company of the other part il- and the contract entered into by this Company in pur- suance of suich.preliminary contract is dated the 24th day of April, 1868, and made between the Kilmorey Mine Company and the South Kilmorey Mine Com- pany of the first part, the Rev. Edward Roberts, Wm. Webb, John Penlington, Joseph Jones, Samuel Dutton, Thomas Meacock. and Henry William Rich- ards of the second part; this Company of the third i part, and William Clove Hunt of the fourth part; both the said contracts are filed with the Registrar, i and copies may be sten at the offices of the Solicitors. Leases have been secured of both sets, for 21 years, on fair terms. Several Shafts have been sunk with the requisite appliances in Whimseys, Ladders, &c., &c.; the Kil- morey Mine possesses the great advantage of an adit or day level, driven at a very large cost, besides which other works have been executed by the eid companies, -which are available for tuture operations. It is proposed, in order to work the Mines vigorously and at a greater depth, to erect aft engine at the Kil- morey Mine of about 30 horsfe power, and to follow, at deeper levels, a run of Ore in this Mine which has already been very productive in the upper levels. The engine will also be available for a new shaft intended to be sunk on a new vein which has been discovered in the adit level. I' The Mines have been inspected by Surveyors of character and experience who are well acquainted with the neighbourhood, and its geological formation reference is made to the annexed reports of Mr. ABSALOM FRANCIS, Mining Engineer, Holywell, and of Captain EVANS, of the Great Rhosesmor Mining Company, Limited. The Directors believe thev are justified in confidently recommending the prosecution of these Mines as a good speculation, calculated to reward Shareholders for any capital invested.
