THIS Company has been formed for the purpose of taking over the KILMOREY and SOUTH KILMOREY LEAD MINES, which have been worked under the cost book system, and of raising, with the advantages of limited liability, the necessary capital to efficiently de- velope the same the sets adjoin, comprise an a^ea o/ 56a. 3r. 14p. and are situate in the Township of Brynford, in the Parish of Holywell, in the centre of the Flintshire Mining District; they skirt the eoal formation, which is considered the most desirable-and certain position for Lead deposits, and both sets have yielded large returns of Ore at comparatively shallow depth. The late proprietors had expended up., to the 7th August, 1866, (when the turn-over of the'Mines dates from) irrespective of monies received from ore sold, upwards of 94350, as may be seen by reference to their books, which are open to the inspection of. in- tending Shareholders; it has been arranged for this Company to take over the Mines, from the 7th August, 1866, as a going concern, with plant and everything as it stands, at the prick of t447,5, this Company pay- ing the expenditure since the 7th August, 1866, amounting to about £ 450; and the old Shareholders having full confidence in the value of the Mines, have agreed to take the whole zC4476 in Shares, namely, 895 Shares, of f5 each, fully paid. The preliminary contract with the old Companies is dated the 31st day of March, 1868, and made between the Kilmorey Mine Company and the South Kilmorey Mine Company of the one part, and William Clove Hunt on behalf of this Company of the other part; and the contract entered into by this Company in pur- suance of such preliminary contract is dated the 24th day of April, 1868, and made between the Kilmorey Mine Company and the South Kilmorey Mine Com- pany of the first part, the Rev. Edward Roberts, Wm. Webb, John Penlington, Joseph Jonefl, Samtiel Dutton, Thomas Meacock, and Henry William Rich- ards of the second part; this Company of the third part, and William Clove Hunt of the fourth part; both the said Contracts are filed with the Registrar, and copies may be seen at the offices of the Solicitors. Leases have been secured of both sets, for 21 years, on fair terms. Several Shafts have been sunk with the requisite appliances in Whimseys, Ladders, &c., &c.; the Kil- morey Mine possesses the great advantage of-an adit or day level, driven at a very large coat, besides which other works have been executed by the old companies, which are available for future operations. .-It is proposed, in order to work the NUnes vigorously and at a greater depth, to erect an engine at the Kil- morey Mine of about 30 horse power, and to follow, at deeper levels, a run of Ore ifl this Mine which has already been very productive in the upper levels. The engine will also be available for a new shaft intended to be sunk on a nevtr vein vthioh has been discovered in the adit level. The Mines have been inspected by Surveyors of character and experience who are well acquainted with the neighbourhood, and its geological formation reference is made to the annexed reports of Mr. AIJSALOM FRANCIS, Mining Engineer, Holywell, and of Captain EVANS, of the Great Rhosesmor Mining Company, Limited. The Directors believe thev are justified in confidently recommending the prosecution of these Mines as a good speculation, calculated to reward Shareholders for any capital invested. The Memorandum of Association defines the objects of the Company, which have been made wide and comprehensive, in order that the Company may not hereafter be hampered for want of powers, which cir- cumstances may make it advantageous too put into exercise.
