REPO It T. The Directors have the pleasure to submit for the consideration of the Shareholders the 3ist Annual for the year ending 31st December last. port, The year 1863 opened with improved prospects of Trade in the manufacturing districts The reduced pro- duction of the Cotton manufacture in the year 1862, owing to the diminished supply of the raw material led to an exhaustion of stocks, and a corresponding enhancement of price in the markets of the world, which gave a general impetus to manufacturing activity, and proved a material abatement of the Lancashire distress. The encouragement thus afforded has been found effective in stimulating the productive energies of othel countries in furnishing a better supply of Cotton. The abundant harvest which supervened in the autumn increased the accumulation of capital and gave additional prosperity to the home trade, leading also to the formation of a variety of new schemes, financial and otherwise, tor developing the resources of the country. The value of money at the commencement of the year was 3 per cent. and rapidly rose in the month of January to 6, but descended again by the end of April to 3 per cent.; a reaction ensued by the end of May to 4 per cent., at which rate it remained until November, when it gradually rose to 8 per cent., giving upon the whole a fair average for the year, and thereby enabling the Directors to submit the following very favour- able statement of accounts, which they trust the Proprietors will deem highly satisfactory. 1863 rC8U^ year a operations is as follow :— Jan. 1. £ >est or Undivided Profits, at 31st December, 1862, as exhibited at Annual Meeting in Alav, 1863 181,764 1 2 Add balance of Premium Account. 68,290 0 0 Total £ 250,060 1 2 Leu. Bonus declared and paid in cash in 1863, out of this, amounting to > 46,748 17 7 Reserved Fund nl apart in Government securities £ 203,311 3 7 Dec. 31. Net Profits of 1863, after making allowance for bad and doubtful debts, and 1 paying a bonus of 10 per cent. to officers £ 192,397 17 5 £ 395,709 1 0 Add undivided-pmfitg carried forward from 1862 o. 4,971 0 10 Total £ 400,680 1 10 Deduct. Dividend on Company's Stock, paid July, 1863 £ 33,631 16 8 Ditto December, 1863, paid January, 1864 36,000 0 0 Bonus of 6 per cent. ditto ditto o. 60,400 0 0 Undivided profits carried to next half-year 10,000 0 0 129.931 16 8 Leaving. 270 748 6 2 Out of these profits the Directors propose to declare, in addition to the foregoirg Dividend and Bonus paid to Proprietors as above stated, a further Bonus of 7 per cent., making toe division of profits in 1863 in all 21 per cent. upon the paid up capital to 31st December, free of Income-tax, amounting to £ 63,000 0 0 Leaving reserve £ 207,748 5 2 which, with the premium of 1.704 0 0 realised from the 426 new Shares voted last year, increases that fund to t209,452 6 2 The suspension of two private Banks and one Joint-Stock Bank at Hereford has led to a considerable accession of business in that locality. In order to remedy the inconvenience caused by these failures the Directors have established a Branch at Ross, with entire success. With a view also to complete the chain of connection with our Welsh Branches, it has been deemed advis- able to open a Branch at Chester, and more recently an agency at Newcastle Emlyn, where no Bank previously existed: at both of these places the prospects of fuccesa are of the most encouraging character. After some considerable delay in adjusting the boundaries and lights with the owners of the properties adjoining the Bank premises in Bishopsgate Street, the Directors have adopted a design furnished by their Architect of a new building, which they believe will form an elegant and substantial structure, and prove adequate to their requirements for a long period of time. The works arc now making rapid progress and the Directors nope to hold their next Annuil Meeting in the new premises. The Directors have come to the full conviction that the interests of the Bank require that its operations should be extended to London at the earliest possible period, and they trust that measures may be devised to effect that object. There are still some technical difficulties which the Directors would wish to see removed before calling on the Proprietors to sanction such a course, but they can have no hesitation in assuring the Shareholders that they will allow no time to be lost in unnecessary delay. The following Directors go out of office by rotation, but, being eligible for re-election, offer themselves accordingly, viz.:— JOHN KINGSTON, ESQ., JOHN MINET LAURIE, ESQ., and The Honourable ELIOT THOMAS YORKE, M.P. THE ABOVE REPORT HAVING BEEN READ, IT WAS Resolved anattimously-That the same be adopted and printed for the use of the Proprietors. Resolveå unanimously-Tbat JOHN KINGSTON, Esq JOHN MINET LAuiLijt, Esq., and the Honourable ELIOT THOMAS YORKE, M.P., be re-elected Directors of the Company.
