The works now consist of three factories, having a floor area of upwards of 40,000 square feet, besides offices, stores, brazing shops, etc., fitted throughout with modern appliances for producing perfect cycles. The premises having been found insufficient to cope with the demand, land partly freehold and partly leasehold, comprising about 18,000 square yards, will be acquired by the Company under a contract already made by Mr Starley, and plans have been prepared and passed by the Coventry City Council for the erection of a new factory, which, when completed, will enable the Company to double the output and will be one of the finest and best equipped factories in the kingdom. The Rover has gained a world-wide reputation for excellence of workmaDsbip and quality of material, and is unsurpassed by any other cycle. From the following comparison of sales it will be seen, how the business has progressed, and is still progressing The year ended 31st August, 1895, shows an in crease of about 48 per cent. over 1894. The nine months ended 31st May, 1896, shows an increase of about 50 per cent. over the corres- ponding period of last year. The sales for the last nine months exceed those for the whole of the previous 12 months, and the orders now in hand are more than sufficient to keep the works fully employed, working, early and late, until the end of the present season. This Company will take over the business as from the 31st August, 1895, together with the whole of the profits made in the business from that date. The jpurchase money has been flxedat £Jæ,OQO, and the Capital (including loans on debenture) at £ 200,000, thus leaving a margin of £20,000, which, with the accruing profits of the current year, will be available for working capital, and for the purchase of the addi. tional land and extension of works above referred to. The business has recently been unconditionally: purchased by the Vendors from J. K. Starley Limited, for £150,000. The expenses of the sale to, and the formation of, this Company will be charged against the difference in purchase money and tbe balance divided between the present Vendors and the old private Company in agreed proportions. A stoppage of the Works all this, the busiest time of the year, for the purpose of Stocktaking and the preparation of Accounts would seriously interfere with the prosperity of the business, and without such stop- page no certificate of profits could be prepared which subscribers could reasonably be asked to accept. But to provide for a fair basis of purchase under these circumstances the following special conditions have been made :— The annual accounts are generally taken as on the 31st August. It is therefore intended to continue the business without stoppage until that date. Mr J. K. Starley estimates the profits of the current year at considerably more than £20,000, but the purchase money is fixed on the basis of £20,000 profit, subject to readjustment as next stated. The agreement with the Vendors provides that the final instalment of purchase money shall not be paid until after the Accounts have been made up to the 31st August next. If or the taking of such Accounts the profit for the year exceeds £20,000, the Company will get the benefit of such excess, but if it should faU short of that sum the purchase money paid by the present Vendors to the old private Company is to be proportionately reduced. The Company will get the entire benefit of any such rebate in the purchase price, and the (amount will go to increase its cash assets. For the purpose of this adjustment the accounts are to be certified by Messrs Sharp, Parsons and Co., of Birmingham and London, Chartered Accountants. The valuable services of Mr J. K. Starley have been secured as Managing Director for a period of five years. Arrangements are being made to retain the services Of the working staff. thus securing the con- tinuity of the present successful jnanagement. Mr J.
