W ilson presided over a meeting of the Penarth Shipbuilding and Ship- repairing Company, Limited, held at their offices, Bute-street, Cardiff, to-day. There were also present Messrs E. Bregeon, C. W. Cm-istie, T. R. Thompson, L. Turnbull, G. Hallet (directors), Munro (manager), Col. Page, Messrs F. G. Evans, H. Jefrrys, and D. Roberts (secretary). The report of the directors was received and adopted, and a dividend of five per ceni. per annum was declared. The retiring directors, Messrs Thompson and Christie, and the auditor (Mr S. Coleman) were re-elected. The usual votes of thanks terminated the proceedings. The directors of the National Accident Insurance Company (Limited), Cardiff, have issued their annual report upon the opera- tions of the company up to the 31st Decem- ber, 1894, together with a general account and balance-sheet made up to that date, and duly audited. The report states :— The capital issue.l was subscribed, and the amount called up— £ 10,200—has b--ii paid. The company proceeded to business in November last, to that the figures contained in the gensral account only ró#fer to a very brief period, but even the results there showa must be considered satisfactory. Since the beginning of the preseut year mate; ial progress has been made. About 100 agents have been appointed, iriany valuable connections hav« been formed, and a substantial volume of premium income has been secured. Promises of business so be trans- ferred to this office when existing arrangements expire have been received, which justify the antIcipatiOn of a. continual increase in revenue. The directors therefore feel able to congratulate the shareholders on the prospects of the company, which are distinctly encouraging. The directors have noted with pleasure that shareholders have themselves introduced a considerable amount of have noted with pleasure that shareholders have themselves introduced a considerable amount of business to the company. As the company's ILI operations have only just begun, at the 31st I December Inst, it has not been considered I necessary to present a separate revenue account inti balance-sheet. This, however, will be done in the future. The balance-sheet shows cash in hand amounting to £659 17i 6d. The report of the directors of the Rhondda and Swansea Bay Railway, to be submitted at the 25tli half-yearly ordinary general meeting, to be held at the Mack- worth Hotel, Swansea, on Thursday, the 28th day of February, 1895, states :— The aecunts for the half-year ending Decem- ber 31st, 1894, show, after deducting working expense ami other charges, including the interest on the Dflbenture Stock, a net revenue of 26,963 12"1 6d. The traffic returns, as compared with the corrwjx-.nchng pernxl of 1893, show an increase of £ 5,*7* 14* 3d. The baiance of the net revenue account will admit of a dividend upon the Prefer- ence Shares at the rate of 5 per cent. per aanum. The expenditure on capital account for the past half-year amounted to 2107,938 12a lid. The whole of the works, stations, etc., into Swansea are completed, and, with the exception of a small portion of the permanent way on the Swansea Harbour Trusk Railway (which has been delayed by the snow and frost) are ready for the final inspection of the Government, which, ib is ex- pected, will take place within the next ten days. The directors, with deep sorrow, rtoord the loss of their esteemed colleague, Lord Swansea, who died on the 28th November hst. The vacancy thus caused has b.n filled np by the appointment of bis brother, Mr W. Graham Vivian. The directors retiring by rotation acv Mr J. Richardson Francis and Mr Morgan B. Williams, who are •iigible and offer th m*elves for re-eiectioti. Mr D. R Knoyie, Oll of the auditors of the company, also retires, and, being eligible, offers himself for re-election. The directors are promoting a Bill in the present Session of Parliament, which was approved by a special meeting of shareholders held on the 4th inst., and which has now been read a second time. Ita main object is thll construction of a short independent line, mile in length, to avoid any possible interference with the mineral and goods traffic ab the Swansea Docks, •nd does not involve any expensive works. The action taken by the Great Western Railway Company, with the view of attempting to prf- ent th,) company using their running powers over the Swansea Harbour Trustees' iines for passenger traffic, was heard by Mr Justice North, who refused to grant an injunction. The Great Western Company appealed against this judg. ment, but the appeal was dismissed with oosts and damages, and the work has since been proceeded with. The line was opened throughout for goed" a.nd mineral traffic on the 12th Decem- ber. a.nd the traffic receipts since tuat date augur well for th, future. The engineer's report is as follows :— Since the company's railway was opened to Swansea for goods and mineral traffic early in December last, the Neath river bridge has worked well, and ill iF! àtis¡cory to be able to add that the hydraulic turning machinery has stood with- out Failure the exceptionally severe frost we are experiencing. In consequence of the law pro- ceedings instituted by the Great Western Rail- way Uutripany to restrain this company from carry- ing out the necessary works fcoenable them to exer- cise titetr ri,,n,g powers over the Swansea Harbour Jfcnilway, Danygraig and their Swansea Uerminus, under which an interim injunction was fu ?•Wotks w«re stopped and so delayed that t^at portion of the eon.pony's system could Bob be submitted when the Board of Trade inspected for Wan™ traffic the line between p°r Talbot and Canyg.a.g, Swansea. The further effect of these proceedings (although ultimately unsuccessful) hto b^n tha6 the wo*k soiitd not be anvshed before the frost set in, now nearly a month J ago. So little, however, now remains to be done. that given a break in the jeverity of the weather, in my opinion the line will bo ready for passenger traffic throughout to the Swansea Terminus by the time the share- holders meet. Details of a new company called the Cardiff Channel Dry Docks and Pontoon Company, Limited, will be foimd in another loiuuia. 1 The allotment of shares in Messrs B. Evans and Company, Limited, Swansea, will not be made till next week, the delay being due, to the extraordinary number of applica- tions, it being estimated that the Debentures are applied for about nine times over, chicfly by people out- side Swansea, while the Ordinary Shares were about three and a half times applied for from Swansea alone, and more than equally over applied for in London, not counting other places. A preference will be given Swansea applicants and Welsh ,customers in the allotment. There was, to-day, speculative selling of the Ordinary Shares at 3s 9d premium.
