SOUTH WALES FINANCE MONDAY, Oct. 26th, 1891. It is difficult to get a" correct report of the value of B-.rry Stock, the statements furnished varying between 218% and 222, as the prices at which transactions have taken place. The figures furnished are that the stock was transferred at 218^4, 220, and 222 but each of these prices I is challenged as to correctness, and we, there- fore, give them as supplied to us, It is agreed that stock is very scarce, very little being on sale. I The following letters have reference to the present position of Barry Stock :— "Sir,—The article in your paper as to the I value of Barry Stock takes an extreme view of the possibilities of that security, and I shaii be glad if you will allow me an opportunity of setting forth a few other considerations which, although they may be supposed to have a "bear" tendency, are yet worthy of being taken into account, for it can hardly be expected by even the most careless of readers that Barry Stock will always continue in its present favourable position. First of all, let me say that I do not know why you shol'lù take it for granted that the Preferred Stock snould carry 4-^ jper cent. Why not 5 per cent, jr 4 per cent. ? cut even accepting your figures, and accepting for the moment also your ^-gimient of what might have been the value under the circumstances of the 14 per cent. profit, I beg you to remember that that is a position of things not likely again to occur, for in the future there will be a much heavier amount of capital to spread the profit over, whilst the earning power is practically stationary. The 14 per cent. profit earned in the half-year ended June last was on the capital then issued, but there is now £ 150.000 worth more stock to share in the distribution, and also something more to be issued on account of the new low water entrance. Another point is that the dock and railways have been open now more than two years. Do you think that the working expenses are going to stay at their present low figure? I think not, for if I am not very much mistaken it will not be long ere the working expenses of Barry rise to at least equality with those of Taff. Hitherto Bariy nas been an undertaking where the expenses have been at their very lowest. You may fairly reckon on 10 per cent. addition to the percentage of last half year. Take another fact, viz., the vast difference there is between Barry Dock and Bute Dock in point of construction. Barry is a cheaply-builtdock; but at. the Bute Dock everything is of the strongest and firmest, solid masonry and everything else in keeping. Then, again, look at the record of shipments during the current half year. Com- pare what was done 12 months ago at Penarth and Barry respectively with what is being done at the present time, and thore you will see something of the risks which Barry runs through variations in earnings. Another point which I would urge is that the harmony which hitherto has prevailed in the Barry Board may not be con- I tinuous and what will be the condition of the concern if cne or two of the large freighters share their favours between the three competing docks, or if by reason of death, or the creation of new interests, the traffic of some collieries passes under the direction of new men ? It must ever be remembered that at Barry all the eggs are in one basket; and it is a small basket, and not many eggs. I do not question that the stock is worth its present price. What I wish to urge is that estimates of any great amount of rise in value must be accepted with great caution, for the reasons given above.—I am, &c., INVESTOR. The Ebbw Vale Company Committee of in- vestigation will, it Is expected, shortly present their 1:> report; and from information which has been allowed to leak out, we have reason to believe that one of its principal features will be the recommendation of the appointment of a South Wales director. Locally, the name of Mr Grove, chairman of the County Council, has been mentioned in connection with this port; and on 'Change at Cardiff and Newport it has been received with favour. To-day's dealings have included- National Bank of Wales, at 18%; D. Davis and Sons, at v 12*4 and 12 Barry First Preference, 137^4 Spillers Preference, 12% :.nd Albion, W. /.3 The following steamers are due to load tin plates from Swansea this week:—Maine for Philadelphia and Baltimore, Glenfinlas for Phila- delphia, Mary for Batoum, Francisco Crespi for Genoa, and Rupert for Lisbon. The imports during last week were 15,311 tons the exports, 35,284 tons; total, 48,595 tons, compared with 42,085 tons in the previous week, and 61,311 tons in the corresponding week. The coal shipments were 26,879 tons and those of patent fuel 2,450 tons. The shipments of general cargo was 3,955 tons: those of tin-plates 44,169 boxes. The receipts of tin plates from works at the dock warehouses were 49,354 boxes. Stocks stand at 126,628 boxes against 121,443 in the previous week, and 150,903 in the corresponding week of 1890.

LONDON STOCK EXCHANGE. LONDON, Monday. The Money Market, though quiet, was firm. The Bank of England are reducing floating balances by borrowing, and thus endeavouring to raise charges to a more remunerative level, but with so much money lying idle this is not an easy matter. It is probable that the banks will succeed in obtaining from the House the same terms as on the last occasion, namely, 3 to 3% per cent. Loans were in quiet request at per cent. Discounts were firm, three months' Bank bills being negotiated at 2% per cent. The Paris Cheque Exchange is 25'25. Business on the Stock Exchange has been limited, as usual on the eve of the settlement, but there has been a fairly steady tone apparent, and many stocks have slightly improved. Consols clor-cd at 95^ to 95^ for delivery and the account; 2% per Cent. (Childers'), 96% to 97 2)1, per Cent., 83% to 94 Local Loans Stock, ICO1/; to 101%. In the Foreign Bond Market the closing of accounts for the fall has steadied Portuguese and Spanish Securities, the former rising y and the latter Italian were conspicuously weak, falling y9. Hungarian and some Egyptian and Turkish Issues were Vg to down. Russian and Greeks were dull. Buenos Ayres Gold Premium declined to 332 per cent. Peruvian fell Some Cedulas rose y to Chilian fell Ecuader rose A fair business was done in British Railways. Rumours have been floating about the market that the Great Northern would not again oppose the Manchester, Sheffield, and Lincolnshire London Extension Bill, the companies having come to some arrangement in the matter. The I stocks most interested were in consequence in demand. Sheffield Deferred and Metropolitan and District Issues were to 1% better. Great Northern Deferred, which was also affected by the reported intention of the directors to abolish second-class, closed 2 up. Another feature was the continued inquiry for Scotch stocks, Cale- donian improving 1 and North British Brighton A declined and South-Eastern A London and Brighton traffic showed an increase of £ 1,449, and South-Eastern of L108. Heavy lines were steady, notably Midland, which rose American Railways were more or less quiet all day, but were still strong. Milwaukees were specially firm, rising the increase of 163,000 dols. in traffic being considered satisfactory. Union Pacific closed at a rise of Denver Preference series, Northern Pacific Preference, Readings, and Wabash were rather better. Atlantic Firsts were weaker. Grand Trunk First and Second Preferences closed a shade better. Canadian Pacific were un- altered. Traffic shows an increase of 62,000 dols. Amongst Foreign Railways Mexican (Vera Cruz) fell Y4 to Lombards were flat, falling American, Buenos Ayres, and Rosario rose y2. Central Uruguay fell 1. The steamer Woodstock, previously reported sunk ofE Terneuze, had been in collision with the Italian steamer Principe di Napoli, from Shields. The latter is at Antwerp, damaged. The steamer Lavinia, from Dublin, struck Garston Dock wall on Sunday, bending her stem and damaging four plates. The steamer White Rose, from Dublin, collided in the Mersey on Sunday, and had two or three plates broken. The steamer Orpheus, of Liverpool, collided in the Mersey 011 Sunday and afterwards grounded, but has since floated and docked, with dainafe. The Swedish barque Magnus Stenbock, with a cargo of deals, is ashore at Stockholm, and will probably be a total wreck. The ketch Llama, from Shields for Plymouth, has baen assisted into Harwich with rudder, etc.,damaged. The George V. Jordon, from Colombo for New York, is at Algoa Bay leaky. The schooner Margaret Traill, of Leith, has stranded at Gapa Westray, and is a total wreck. The British steamer Swift, for Hull, grounded near Maasluis, but afterwards floated, and will proceed. The Norwegian barque Nystad drove ash-ore at Metis, St. Laurence, while loading. The schooner George IV, from Garston, with coals, is ashore at Wexford.' The British steamer Camden is ashore at Heraclitza, Sea of Marmora. The Norwegian barque Felicitas, from Troon for Christiania, has arrived at Aberdeen damaged. The British steamer Mounts Bay, from Smyrna for Leith, has returned to Algiers with cargo shifted and steam steering gear disabled. The schooner Mount Blairy, of Plymouth, from Clackma nnan for Poole, with coals, has been towed into Poole after being ashore. The steamer Nellie, of Dundee, is ashore on the mud at Cardiff. The schooner Zoraida, for the Mediterranean, and the steamer Dobhran collided near Brightlingsea. Both were damaged. The British steamer Govino, from Sunderland, has arrived at Baltimore with store room, boat, and deck gear damaged.

THE PONTYPRIDD RAILWAY DISASTER. MEETING OF ENGINEERS AND FIREMEN. At a meeting of the Cardiff Branch of the Associated Society of Locomotive Engineers and Firemen, on Sunday, the report issued by the inspector to the Board of Trade re the collision at Pontypridd Station, Taft' Vale Railway, on Aug. 15th, 1891, was discussed, and the following reso- lution was unanimously passed :— "That the members of this branch learn with regret that the Inspector to the Board of Trade has most unjustly imputed negligence to a mem- ber of this branch, and that after evidence given by prominent officials of the railway to the effect that, had not the driver of the Merthyr train been keeping a sharp lookout, and acted as he did with commendable promptitude in applping his brake and using- every available means, to ftop his train, the consequences would have been much more serious, and possibly many lives lost. And we feel that the inspector did not fully appreciatiate the difficulty of th3 position, a sharp curve view of the plat- form obstructed by buildings, signals standing at line clear, no intimation of any train m advance, and no possibility of seeing the standing train, until within a few yards of the point of obstruc- tion. And we record our regret that the inspector did not feel it his duty to ascertain by practical demonstration how far it was possible to see the stationary train, under similar conditions to those that obtained on the night of the accident, pre- vious to implying contributory negligence on the part of the driver of the Merthyr train. And we, as practical enginemen are fully convinced that no one could have done better than the driver of the Merthyr train did on that occasion, and that rather than blame attaching to him, he is to be commended for his coolness and promptitude when a moment of irresolution meant death to perhaps scores of people who were standing on the platform or who were in the trains."

FORTHCOMING CONFERENCE AT PORTH. The following circular has been issued by the Executive Committee of the Rhondda Labour and Liberal Association October 26tli, 1891. Gentlemen and Brethren,—It was resolved at the executive meeting of the above Association, held on the 14th inst. at Pentre, to hold a Canference at the above place on Wednesday, November 11th, at six p.m., to consider what steps shall be taken to further promote the campaign so successfully inaugurated at Pontypridd in September last. Hitherto, the Rhondda Liberals have been con. spicuous for their untiring advocacy of religious equality consequently, it would only be consistent in them now to lead the van by endeavouring to pro- vide the necessary funds for carrying out successfully the important work proposed by the South Wales Liberal Federation executive. We therefore earnestly and respectfully appeal te every Nonconformist church to send one or more dele- gates to the above meeting for the purpose of formu. lating a scheme for adoption. BRISTOL, CARDIFF, AND SWANSEA AERATED BREAD COMPANY. THE DIRECTORS' CLAIM RESISTED. On Monday a meeting of the shareholders of this company, convened by the liquidator (Mr Thomas Martin), was held at the Royal Talbob Hotel, Bristol, for the purpose of considering the proceedings taken by the directors to recover fees amounting to £ 1,937 10s. The Liquidator 1 said he was told that he should take the chair being appointed to wind up the company, but he asked that they would appoint Mr William Stevens to .preside, which would leave him more free to present his report as their official .-]Nlr W. Stevens was then voted into the chair. The Liquidator read a letter from Mr A. C. Mackintosh, solicitor, and shareholder in the company, and late secretary, from Temple Chambers, Cardiff. He wrote that on behalf of himself and other shareholders resident in Cardiff, he begged to point out that the meeting had not been properly convened in accordance with the Companies Acts, and therefore any resolution that might be passed at it would necessarily be informal. The ground of sufficiency was, in his opinion, that the Acts required seven clear days, and in that case the notice to the Cardiff shareholders reached them on the 20th instant, which pave them only six days' notice. The Liquidator then read some leteeirs from oboroholanrcy -who 'spoke. Ktrojsngiy against) the directors. He then presented nis report in liquidating the affairs of the company and having stated the losses on the different businesses of the company, he said the directors did not appear to have worked harmoniously and that want of harmony hindered them from developing the interests of the company. The Cardiff branch was in hand, and up to-the present time he had not obtained a purchaser. Referring te the claim of the directors for fees, he said that claim had been further pressed by the issue of a writ. He expressed his opinion that a more unjust demand had never been made. The total loss of the company was £ 10,563. The Rev J. H, C. Hobkirk moved the adoption of the report of the liquidator. He said the directors rnig-ht have a legal claim, but the simpla answer to that was, where was their conscience ? There were heaps of things which men could do legally that they would scorn to do honourably. He went through the proceedings that had taken place, and said the directors stated if the com- pulsory order for winding-up the company was passed they would claim their fees. The com- pulsory order was, however, never passed, and the only three possible grounds they gave by virtue of which they sought to twist m their remuneration for what they had done one and another separately fell to the ground. It was with a view to the interest of the shareholders not to lose more than could be helped that they were willing to let go the compulsory order, thinking that the compensation on their park would be the absence of the directors' fees. The directors astounded them, because after they got out of the shareholders the resolution for voluntarily winding-up they asked for their fees. Mr J. Clement George seconded the adoption of the report, and said they all knew it was the intention of the directors to forego their fees if they did not have a, compulsory winding-up. > Mr Mackintosh (Cardiff) said he did not repre- sent the directors; he stood there simply as the holder of 260 paid-up shares. In his opinion the directors had a legal claim whether they had a moral claim was another matter, and he had nothing to do with it. His object was to get the directors to accept as little as they could. He believed the liquidator had thoroughly done his work, and had done his best to realise the best prices possible for the businesses. The speaker maintained that there was no specific promise on the part of the directors to waive their fees. Clement George said he distinctly asked the directors if they would forego their fees, and they said they would. The Liquidator asked if they should let an investigation take place there, if Mr Mackintosh, of the firm of Jones, Mackintosh, and Dixon, solicitors, who had the conduct of the claim against him (the liquidator) was there to get evidence against him as liquidator 1 Mr Mackintosh said the notice he had forwarded was out of regard to the liquidator. The directors might be successful or unsuccessful in their action. Mr George inquired if Mr Mackintosh repre- sented the directors. Mr Mackintosh stated that he did not there; he did not want Mr Martin, the liquidator, to pay the cost out of his own pocket, if the directors were successful. The directors had been put to expense through petitioners applying to have the company wound up; though whether they intended ultimately to claim their full feea was not for him to say- What he would do was to suggest that the shareholders might empower the liquidator to accept an offer if made by the directors at some future date. Whether they would ever make it he could not say at present they were determined strongly not to make it. He was doing his best for himself and the other shareholders, as he would like to see th-? shareholders get something out of the company- He appeared to some extent in a dual capacity. Each director would have accepted £ 150 in place of £ 500, though he might say £ >r Harrison was not willing to do so, and made his claim direct to the liquidator. The report to tne liquidator was then put to the meeting, and adopted. Mr Pillirs (solicitor) gave, as the result of a meeting at this office, that the directors said they would forego their fees Tha Chairman said he felt sure about their position in holding that meeting, and would proceed notwithstanding Mr Mackintosh's protest. He toen proposed that the meeting approved of the liquidator defending the action taken by the directors, and that he take such steps as might ba advised by way of counterclaim, or otherwise, against the directors. Mr Ebsworth seconded the resolution. Mr A. Essery objected to the course proposed being adopted, as he felt the directors would re- cover a most substantial sum, and he did not see any legal answer to their claim. He did not agree with the management of the company, -Aiieh had been very unfortunate, but he advised that Mi Martin should be instructed to make the best terms he could. ("No, no.") They might then, perhaps, only have to pay L600 instead of some £ 2,500. The resolution was then put and carried, 10 voting for and 2 against. There were 52 proxies in favour of the resolution, representing 3,612 shares, or 2,127 votes. These were admitted. Thanks to Mr W. Stevens for presiding ter- minated the meeting.
