ABRIDGED PROSPECTUS, This Company is formed for the purpose of acquiring the Freehold property known as The Mount Vernon (Lager Beer) Brewery, Washington, United States of America, and to carry on the business of the same. The output of the Brewery during the year ending 31st March, 1889, was over 36,000 barrels of Lager Beer, the net profit being over £ 13 5U0. The whole of this output wa3 sold in the City of Washington. In about January last Mr Albert Carry, who has brought the business to its present state Of perfection, commenced extending the buildings and plant, the completion of which will not interfere with the present business, and the vendor has entered into a covenant to finish the Sd-Ine at his own expense before the 1st August next. When these improvements are completed, the capa- city of th-3 Brewery will be increased to 60,000 barrels per annum, and the Shareholders will, therefore, not only receive the profits of the present output, but also the additional profit from the extended business which will be derived from the alterations without the outlay of further capital. Mr Albert Carry agrees topact as local Director for a year at least, and not to engage in the Brewery busi- ness for ten years within a distance of one thousand miles from Washington. The present machinery is of the most modern and efficient cnaraccer, and the Brewery is fitted up with the latest ice machinery, thus saving the purchase of ice for cooling purposes, There is also an excellent ArtesLn well upon the premise-, from which a plenti- ful supply of e-pecially pure and cool water is obtained. The Company therefore starts with a Brewery having a plant up to date, and a valuable connection yielding handsome profits in a great and growing city—the capital of the United States. With the additional output above referred to and the additional Capital at the disposal of the Directors, the profits are expected to be larger year by year. The actual net profit made last year (1888) wa3 over 218,5W. Taking these actual figures as divisible for dividend, the following is the result Profit 218,600 Debenture Interest at 6 per cent., E26,000 £ 1,560 Preference Shares at 8 per cent., 4,000 ——— £5.550 Leaving — — 212910 thus leaving a balance equal to more than 17 per cent. cn the Ordinary Shares. American I -ager Beer Breweries possess great advan- tages over others, as this light Beer is the national drink of the United States, and suitable to the climate. The price to be paid for the entiro freehold brewery, proprietor's dwelling-house.and all buildings in connec- tion therewith, including machinery, plant, horses, waggons, debts receivable, and stock-in-trade, together with the goodwill, has been fl.,e,i by the Vendor at £ 141,000, of which the Vendor takes £ 50,000 in Cash, and the balance in cash or shaves, or partly in each, at the option of the directors. The present issue will leave 210,000 for further deve- lopment, or extra working capital, or for extending the business, the purchase price of £ 141,000 including stock, book debts, and all things necessary for carrying on the trade. In addition to this £ 10,000 the directors have reserved £ 10,000 of the Preference Shares to be issued at a future time to meet further development. The company does not take over any liabilities. The Directors with confidence invite applications for shares. The property is freehold and extensive, and with the development above referred to, and the in- crease which is natural to the business, the company should pay a dividend of 20 per cent. on the ordinary shares, after providing for debenture interest, prefer. euce dividend, and all charges. The successful floating in London of the following companies will show the high estimation in which American Brewery Investments are held, and the daily papers show the following quotations :— The New York Brewery Company, Limited, the £ 10 Shares of which are now quoted at £ 5 premium Hill's Union Brewery Company, Limited (of Newark, U.S.A ), the B10 Shares of which are now quoted at;22 premium. WORKS. -ALB A N Y SOAP WORKS, NEATE-STREET, CAMBERWELL, LONDON, S.E. PROSPECTUS. The Company is formed for the purpose of acquiring and further developing the old established business carried on for many years by Messrs Murley and Co., and now known as J. Arthur and Co of the Albany Soap Works. These works are centrally situated for railway, river, dock, and canal traffic, besides being most convenient for supplying the Home Trade. The present proprietors, Messrs J. Arthur and Co., acquired the business premises and thoroughly refitted the works with new plant of the best description, at a cost of several thousand pounds. Since the works were completed, Messrs Arthur and Co. commenced making and selling Arthur's Ideal Soapi" and other Soaps, since which times the sales have considerably increa-ed. The Manufacturers claim for Arthur's Ideal Soap" that it is absolutely pure and can be used for every purpose, being free from any injurious matter what. ever, and that it is also a very high-class disinfectant, and superior to any soap yet made. The business is taken over by the company as a going concern, and one likely to prove a very profitable investment. It is well known that there are many firms of soap manufacturers in England whose names are house- hold words, who turn out upwards of 600 tons per week each, and it is notorious that their profits are large and increasing. The plant te be handed over to the company can turnout about 45 tons per week of Ideal Soap as well as 20 tons of other soaps called Patent" of the vendors' speciality. According to the present prices of raw material, the nett profit shown on the books on Arthur's Ideal Snap" is £4 10s per ton, and the Soaps called Patent a nett profit of B20 per cent. on the cost. It is intended to increase the output as speedily as possible to 140 tons of Ideal Soap per week by addition of further plant, machinery, and alterations to buildinas, at an estimated cost of £ 3,000. The necessary ground to enlarge the works has been offered to the Vendors on advantageous terms, and the plans of the proposed enlargement may be seen at the offices of the Company. When this extension is made the plant can turn out 140 tons of Ideal Soap per week, which would increase the yearly income to FZ1,500, a sum sufficient to pay a dividend of about 26 per cent, on the entire capital of the Company, The contract for purchase is made by the vendors, J. Arthur and Co. (who are the owners) of the one part, and this Company, of the other part, and is dated 16th April, 1889. The consideration to be paid to the vendors for the goodwill, all proprietary rights con- nected with the business, premises, plant, trade marks, loglstered designs, &c., &c., is fixed at E20,000 in cash, and £ 30,000 in fully paid Deferred Shares, which will receive no dividend until 8 ner cent. per annum has been paid upon the Preferred Shares. There are also various contracts and trade engage- ments incidental to the business, and applicants for Shares will be deemed to have waived the specification ifc the prospectus ot particulars of any such contracts, vhether under section 38 of the Companies' Act, 1867, or otherwise, expenins incidental to the frfmatio.) ef the Com- pany up to allotment are paid by the Vendors. 'Application for Shares should be made on the form accompanying the prospectus, and sent with a deposit to the Company's Bankers. In all cases where no allotment is made the deposit will be returned in full, and when the number of Shares allotted is less than the number applied for, the surplus will be credited in reduction ot the further amount payable on allotment. As early an application to the Stock Exchange for a quotation as circumstances will admit will be made. Prospectuses and forms of application can be obtained at the Offices of the Company and from the Bankers. Copies of the Memorandum and Articles of Associ- ation, and the above Contract, can be inspected at the Offices of the Company. April, 1889. IteHMttg ocidít5. CONTRACT FOR ANTHRACITE. -— An old Coal-importing Firm in Stockholm is open for NEW CONNECTIONS with first-class Colliery Firms in South Wales, who are working only the b«st ANTHRACITE from the Big Vein Seam, and have facilities for delivering broken Coal for domestic pur- poses in quantities of 5,000 to 10.000 tons during the summer months, June and July, f.o.b. a harbour accommodated and navigable for larger steamers, but as near to the Collieries as possible, to avoid or lessen the cost for railway carriage. Ca.sh against shipping documents and letter of credit, if desired, from Stock- holm or London Bank for the amounts contracted for. By the exceptional position which the writers hold they would be able to do the bulk of the present anthracite business in Scandinavia, say 20,000 to 50,000 tons a year, extending rapidly every year-if they could meet with firms on the coil fields who are correspondingly situated for a large business in first- class Anthracite, and have large machineries for breaking them. Only firms of collieiy owners of the above standing and situation are respectfully invited to open correspondence, and offer 5,000 tons broken coal for shipment during this spring and summer, under address Mr C. BOLTONIUS. Kuugsgaton 34, Stockholm, Sweden, when all particulars will be furnished.
