This Company is formed for the purpose of acquiring, amalgamating, aud working under one management amalgamating, aud working under one management the three well-known businesses and properties of The Coats Ir n and Steel Company at Coatbridge, near Glasgow, and of James Goodwin and Co., Kngineers, Bridge Buiiders, and Boiler Makers, at Motherwell, also near Glasgow, and as Iron and Steel Founders at Ardrossan, Ayrshire. The Coats Iron and Steel Works were established upwards of 30 years ago, and they were in 1883 pur- chased by the present pr^nrietors, who have erected a complete Siemens' Steel Works, which were finished in April, 1887, and have entirely modernised the iron works, the proportions of iron and steel now turned out being 15,000 tons of iron and 25,000 tons of steel. These Works cover about six acres, and are held at the nominal feu duty ot i:47 4s 5d. The buildings are in good condition, and the machinery is in first-class order and mostly new. The North British Railway lines pass the works, into which there are convenient sidings. The trade is principally Scotch for ship building and bridge building purposes, but about 10,000 tons per annum are usually sold to the North of England and India. The business of James Goodwin and Co. was estab- lished about 30 years ago at Ardrossan, and about 25 years ago at Motherwell. The Motherwell Works comprise one of the largest and most modern bridge building establishments in the country, and also a large iron foundry and engineering department capable of turning out all descriptions of castings, &c., for railway and general purposes. These works xtend over upwards of 10 acres, held at an average feu duty of about S22 per acre. The build- m ichinery, and plaritare of the most modern description, and in first-class order and condition. The Cnledonian Railway (main line) runs past the works, into which there are sidings. The principal customers are the Scotch railways and railway con- tractors, but a large amount of contract work is done tor India and the Colonies. The Ardrossan Works comprise two iron and steel foundries, producing all kinds of castings for railway and general purposes. The steel foundry at these works was only completed about a year ago, These Works cover three acres, held on long leases at a rental of B50 per acre. The Buildings, Machinery, and Plant aro in first-rate condition. The customers are mostly the Scotch railway companies and railway contractors, and there is a large amount of Colonial export work. The Works are connected by sidings with the Glas- gow and South-Western and Caledonian (Lanarkshire and Ayrshire Railway) systems. The latter connection has only recently been obtained, and will be of great value to the Works; and the extensive improvement of the harbour now in progress will enable the Company to ship for abroad direct from Ardrossan instead of having to send the gouds to Glasgow by rail, to be shipped thence, The accounts of the profits from the Coats Works must be taken from the date when the Steel Works were completed, and Messrs McClelland, Mackinnon, and BI),th, the well-known Chartered Accountants, of Glasgow, who have examined the books, certify that the Net Profits since that time have been at the rate of £ 11,875 13s 4d per annum, after allowing for depreciation, as reported by Messrs James Clinkskill and Son, and providing for the upkeep and repair of buildings, machinery, plant and tools, and it is anticipated that these profits will reach £ 20,000 for the current year, the business having of late largely increased. The Books and Balance-sheets of the Motherwell and Ardrossan businesses, also examined and certified by Messrs McClelland, Mackinnon, and Blyth, show that, notwithstanding the severe depression in trade for the last three years, which materially affected the profits during that period, the average Net Profits for the five years ending 16th July, 1888, amounted to £ 14,255 19s lOd per annum after allowing for depre- ciation, as reported by Messrs James Clinkskill and Son, and providing for the upkeep and repair of build. ings, machinery, plant, and tools. Since the end of the k irm's financial year in July last the relative Net Profits exceed the above average. From the certificates above referred to it will be seen that the average Net Profits from tue three Works amount to £ 26,13113s 2d per annum (after allowing for depreciation and upkeep as before mentioued), showing a surplus of about £ 15,000 per annum, after providing for the interest on Debentures, and the dividend on the Preference Shares, and it is believed that these Profits will be largely increased. The Preference Shares have a preference over the Ordinary Shares, not only for the cumulative dividend, but ako in -any distribution of the capital, property, and assets of the company. The Businesses are purchased as going concerns, to be taken over as from the 31st March, 1889, and the Company will have the benefit of all current contracts and orders, which the Directors consider are advan- tageous the stock of materials at; the works will be taken at a valuation at the prices current on the 3lst March, from which date the profits will accrue to the Company, aud all debts and liabilities then existing will be discharged by the Vendors, the Company I collecting the book debts on account of the Vendors.
