This Company Las been formed for the purpose of cons-ruetins: a railway in Venezuela, under a conces- sion for 99 years, from the Venezuelan Government. The line will commence near La Luz, a station of the Quebrada Railway, Land, and Copper Company, about 50 miles inland from the port of Tucacas, and will run I in a south-westerlv direction through the town of Duaca to the city of Barquisimeto, a distance of about 60 miles. The concession authorises certain extensions, but it is at present contemplated to construct the line only as far as Barquisimeto. This Line brings into direct communication with the port of Tucacas the interior of a country hich abounds in many descriptions of mineral wealth, is thickly populated, and produces some of the most valuable products of tropical cliiiiates-sucli as coffee, tobacco, suaar, &c. The plain of Yaritagua, which the Line I skirts, is one of the most fertile regions in Venezuela, while the extensive "Llanos" or plateaux of the interior afford pasturage for constantly increasing herds of cattle. At the present time the only means c *) of communication is by donkeys, over roads which the first rainfall usualiy renders impassable. A working agreement has been arranged with the Quebrada Company. The traffic served by the railway will consist of-(a) The traffic now brought to the Quebrada Railway at La Luz over the route the railway will traverse, princi- pally tobacco. coffee, sugar, cocoa, &c. (b) The imports and exports new passing via the Lake of Maracaibo— 2b per cent. of which will, it is expected. be carried by the railway, (c) The imports and exports of Siqui- sique and other towns that now pass through the port of Caro. In the district of Araure, Ja'ge deposits of phosphates I are known to exist, and there is every reason to suppose that railway facilities may lead to their immediate export. The existence of minerals in the vicinity of the Line is abundantly evident. The Quebrada Company's estate is full of copper lodes in th vicinity ot the junc- tion, and lead, silver and other metals are and have been mined, in times ancient and modern, in the line of country to be traversed. The demand for railway accommodation and the valuable character of the produce of the country is best shown by the fact that the Line of the Quebrada Company earns nearly £ 20,00D a year from the local traffic in produce, now brought many miles on donkey back in order to find access to the sea. The terms of the Concession secure to the Company for the whole period of the Concession the monopoly for a distance of 50 miles on either side of the Line of a district much of which is as rich as any in Venezuela. The plans and surveys of the Lino as far as Barqui- simeto have been completed The construction of the Line has been commenced, and a contract, providing for the acquisition of the Concession by the Company, and the construction and equipment of the Line by the 31st December. 1889, has been entered into with Messrs Perry, Cutbill, and Do Lungo, of London, who will be pairl as the work progresses, on the certificate of the Company's Engineer. An estimate of traffic has been carefully prepared, based upon the probable traffic in the above goods, which, atter allowing large deductions for possible errors and over calculations. leaves a net revenue of £ 59,000, whereas the amount required for interest on £ 260,000 Debentures at 7 per cent, is only 225,200. The Government of Venezuela guarantee interest at the rate of 7 per cent, per annum, from the opening of the line throughout tor traffic, upon an amount of £10,000 for every English mile of railway constructed. The Government of Venezuela, in addition to the Guarantee of Interest and Dividend before mentioned, subscribes to the Share Capital of the Company to the extent of £2,000 for every mile of line constructed, pav- able in Ibareii of the Puerto C&bello aud Valencia Railway Company. Subsidies by the Government of Venezuela to other Railways have been punctually fulfilled. The La Guiara and Caracas Railway Company. whose bonded debt per mile is about double that of this Corn. pany, have not only paid the interest upon their bonds, but substantial dividends upon a share capital of about £ 14,000 per mile. The bonds of that Company, after touching 117 were converted into a Five per Cent. Debenture Stock at the rate of 2125 for each S100 of Debentures. The new Debenture Stock now stands at 93. The Puerto Cabello and Valencia Itaiiway Company, which. in like manner, connects the interior with the coust, has a bonded debt of about 210,000 per mile. The bonds were offered to the publio at par in July last, and, -no withstanding that it was not contem- plated that the Railway would be completed before February of this year, the bonds in December, 1887, rose to 105. Applications must be made on the enciosed Form with a deposit ofE5percent. on the amount npnlied for. Scrip Certificates to Bearer will be issued in ex. change for Allotment Letters, which, after payment of the other instalments, will be exchanged for Definitive Debentures, with half-yearly Coupons attached. Where no allotment is made the deposit will be re- turned without deduction and where a partial a lot- ment is made, the surplus deposit will be applied towards the amount payable on allotment. Failure to pay up any instalment wili render the suois previously paid liable to forfeiture. Copies of the proposed Form of Debenture, and Trust Deed securing the issue, may be seen at the offices of the Solicitors of the Company, Messrs John Vernon and Co., 35, Coleihan-street, London, E.C. Forms of application may be obtained at the offices of Messrs Matheson and Co., 3, Lombard-street, Loio6 don, E.C., and at the offices of the Railway Company, Ethelburga House. 70 and 71, Bishopsgate-street Within, London, E.C.
