CONVERSION AND REDEMPTION OF THE IMPERIAL BRAZILIAN FIVE PER -L CENT. LOANS OF 1863, 1871, 1875, AND 1886. Issue of £ 20.000,000 4 per Cent. Brazilian Bonds, the proceeds to be applied exclusively to the conversion and redemption of the above Loans. His Majesty the Emperor of Brazil having in con- formity with the Laws No. 3,329 of the 3rd September, 1834, and Nos. 3,395 and 3,397 of the 24th November, 1888, authorised the negotiation of the above Loan, Messrs N. M. Rothschild and Sons have to announce that they are ready to receive subscriptions at their office. Subscriptions may be made either in cash or in bonds of the above-mentioned loans. Applications for the new bonds, in exchange for bonds ot the above-mentioned loan, will be received to- day (We(Inesday),the 2nd inst.,and on the five following days, viz., until Wednesday, the 9th October, at 4 p.m., when the list will be finally elücd. No subscriptions will be received on Saturday. The conversion will he effected as follows :— Subscribers in bonds wiil receive allotment in full. The 4 per cent. Bonds are issued at the price of 90. In the conversion, every £100 5 per cent. Stock will be reckoned at par, exclusive of accrued interest. and, in addition to this, a bonus of £1 103 will be given on every C100 converted Thus every holder of a £100 5 per cent. Bond will, on converting, receive in exchange a £100 4 per cent. Bond and Ell 10s in ca b, but for cash differences on large amounts of Bonds subscribers may elect to have new Bonds, the frac- tional surplus only be!ng regulated by a cash payment: this option must be exerci-ed when sub- scribing. Interest at 5 per cent. will be paid on the old Bonds from the (late of the last dividend to the 1st October. 1889, from which date the 4 per cent. Bonds will bear interest, the first half-yearly Coupon being due the 1st April. 1890 The repayment at par, but without the bonus of £1 10s per cent., of all the Bonds of the above Loans not presented for conversion will be officially notified at tbe earliest possible date. The 5 per cent. Bonds to ta converted must be listed on forms which can be obtained on application, and must be furnished with the Coupons not yet duo Application must be made on the form provided, and accompanied by a deposit of P.5 per cent. in money, or an approximate amount in convertible Bonds, unless subscribers prefer to deposit the whole of their Bonds when making application. The failure to deliver the Bonds converted when the Scrip is leady to be given in exchange will render the deposit Oil application liable to forfeiture. Subscriptions are payable as follows For every £ 100 Stock, £ 5 on application. 15 on allotment. 20 20th January, 1890. 25 20th Nlarch. 2b 19th May. £90 Payment in full may be made under discount at the rate of 1;5 per cent. per annum on any Monday or Thursday after the Scrip has been issued. Interest will commence from the bt October, 1889. Allotments will be made as far as the bond sub. scription will permit. In case the allotment should not require the whole deposit, the surplus will be returned and if the deposit be insufficient for the first instalment on 1 h amount allotted, the balance required must be paid forthwith. In case of no allotment being made, the deposit of the applicant will be returned. The failure to pay any of the instalments will subject all previous payments to forfeiture. The Bonds will be issued to bearer in sums of i;1001 bearing interest at 4 per cent. per annum, with coupons payable in Loudon half- yearly, on the 1st April and the 1st October the tirst half year's dividend will be payable on the 1st April next. The redemption of the Loan will be effected by an accumulative Sinking Fund of j per cent. per annum, commencing in 1830. to be applied y purchase of Bonds when the price is under par, anrl when at or above par by draw- ings by lot. The Government undertakes not to increase the Sinking Fund before the expiration of twenty years. Forms of application under both the above condi- tions are provided, and :t is expressly stipulated that any applicant having elected to nay, either in cash or in Bonos, cannot alter his engagement.
