The Company is formed for the purpose, amongst other things, of acquiring from the Marques of Bute, K.T., upon lease fo 99 years, a piece of ground between Bute-crescent and Bute-street, and of land adjoining at the southern end of the same; of pulling donn the existing buildings and erecting large and commodious suites of offices, suitable for colliery proprietors, ship- owners, bankers, merchants, brokers, and others. It is proposed to erect the buildings around three sides of the said area, and enclosing i a central hall or court, 100 feet long by 55 feet wide, which will be covered in and roofed with glass. This space will be admhably adapted for an exchange or place of confer- ence for merchants. There is a constant demand for offices so conve- niently arranged, lighted. and warmed as these, a.nd the position of the buildings is unequalled. Several of the largest firms have promised to take offices upon lease at rents approved by the directors, and have ex- pressed their willingness to enter into agreements accordingly and the directors confidently anticipate that the whole of the offices will let readily at remune- rative rents. The tire per cent Preference Shares will un- doubtedly be a first-class security, and as it is calcu- lated that tne profits of the company will yield from 7 to 8 per cent interest, after payment of the above in. terest on th3 preference shares. and setting aside auiiually a sinking fund to repay the capital at the expiration of the lease, the ordinary shares may be expected to prove a very remunerative investment. The directors and their friends have undertaken to subscribe more than one-fourth of the capital re- quired. The only Agreements affecting the Company are an Agreement dated the 20th day of October, 1884, wherein the Marquess of Bute, of the one part, agrees to lease, and the Company, of the other part, agrees to take, the said premises and a further Agreement be- tween the said parties, dated the 20th day of October, 1884, whereby the said Marquess agrees to rent from the Company certain of the offices as Dock Offices. The Memorandum and Articles of Association, and the Agreement for a Lease of the above-mentioned Premises and Land, entered into between the Agents of the Mnrquess of Bute and the Company, may be seen at the Offices of the Solicitors to the Company. No promotion money is paid in any shape or form. The Plans and Elevations, &c., of the proposed Buildings may be seen at the Offices of the Architect 23, Duke-street, Cardiff. Prospectuses and forms of application for Shares may be obtained from the Bankers, Brokers, or Secre- tary, and applications for shares may be sent on the en- closed form to the Bankers, at Bute Docks, Cardiff. Should the shares be unallotted for any reason what- ever, the whole of the amounts paid on application will be returned in full. The list of applications for shares will close on Satur- day, the 29th inst. 72013 ISSUE of 6,COO SHARES bearing 6 por cent. interest per annum, payable quarterly, guaranteed by the contractors during construction, and for twelve months after completion of the Tramways. This Company was formed in 1883 for the purpose of laying down and working a system of f-team tramways in the district of tbe Hartlepool-, fanning a connecting; link between East aud West 11 :v iepool, and giving direct tramway facilities to the piers, harbours, and docks with which the neighbourhood abounds. Since that time this portion of the track has been laid, and the Hartlepools are now connected by the company's line. The engines and cars have been supplied, and the depot, of handsome elevation, with workshops and offices, erected. The Tramways are laid with heavy steel girder rails weighing 751b. to the yard, suitable for the mechanical power employed: are paved throughout >\ith Aber- deen granite setts, resting on a tirm bed of concrete of extra tit-ptli; and are constructed in every respect upon the mo-t improved modern system. .The lines run from the centre of West Hartlepool, passing the railway station and the market, to the centre of East Hartlepool, and supply an acknow- ledged want of a cheap and rapid communication, as hitherto both East and West Hartlepool have been at great disadvantage owing to the defective communica- tion between the two places. Wm. Gray, Esq., J.P., the well-known "iron shipbuilder aud capitalist, and others have commenced building extensively on the rente, thus conferring an undeniable benefit on the teeming population employed in the numerous large works for which the IIartlepools are so famous. In accordance with the regulations of the Board of Trade, the line was inspected by Major-General Hutch- inson, R.E., who stated in his report to the Board of Trade that the tramways have been well laid, and to the satisfaction of the local authorities." The Hartlepools form a Parliamentary borough, ad- mitted to be amongst the most rapidly advancing and prosperous of the northern towns. The population in 1871 was 38,000, and is now estimated to be nearly 60,000, and is still rapidly growing; the dock area in 1847 was 12 acres only, but the space occupied now is 200 acres, such a rapid advance being almost unprece- dented in the annals ot the country. The West Hartlepool Commissioners have arranged for the opening of a new direct road to the beautiful park, which is already largely resorted to by the inhabitants, and it is proposed to extend the present line to the park, and also towards the suburb of Seaton Carew, ior which purpose the Company have obtained the necessary Parliamentary powers. The gradients being exceptionally easy and the motive power steam, the working expenses are com- paratively light, and these facts justify the expectation of very favourable dividends. The expectations expressed by the directors on the for mation of the company that it would prove to be a sound and remunerative undertaking" has been more than realised by the actuaj results of the working of the line since the opening, the traffic receipts having been Is Ijd per mile run, against a cost of 6jd per run, showing a profit of about bO per cent. Various contracts and agreements h%ve been entered into with reference to the business of the company being too numerous to set out jn this prospectus, ap- plicants for shares must be considered to have agreed to their being omitted. The said contracts and asieemcnts may, however, be inspected at the offices of the solicitors to the company in London.
