Bailey and Co., Monmontli, n^TIE object coiiiem 'Ata Uy lUis Company is fht-workmg I an extensive field of coal, situate in the Forest of Dean, Gloucestershire, containing, according to the award of the Dean Forest Mining Commissioner.^ :H8 acres of coal, which are computed* to contain 3,023,729 tons of excellent quality, suitable lor steam purposes and domestic use. Two circumstances combine to render this undertaking one of great promise, and the return of a large per centagc upon the capital employed a matter of certainty. 1st the comparatively small amount ot capital re- quired for the purpose of bringing the works into ef- fectual operation, the proprietors of the Colliery having consented to receive, in lieu of purchase-mone), a small tonnage upon the coal actually worked; so that the heavy outlay usually required in a similar instance, is here uucalltd 2ndly,—'The advantage to be derived from the cheap and rapid mode of conveyance which will be afforded by the South Wales and other Railways, as also the increased-demand which must necessarily follow the opening of fresh markets, by their aid, in the vicinity of the Colliery, in connection with those of Bristol, Bridgwater, Gloucester, Cheltenham, Ireland, &c. i Even when labouring under thedisadvautages of bad roadsaml imperfect transit, the Forest Collieries have yielded a fair re- mnneratino- profit to those engaged therein. Much more may reasonably be expected from an undertaking which will combine the advantages of a cheaper and more rapid convey- ance which these railways will furnish, with the other favour- able circumstances above enumerated. .1 The Estimates, after a most careful computat ion, enable the Committee to state that a dividend of at least 20 per cent. may he relied upon. Brnigend and Cardiff. rrUHS Hail way is projected for the puipose of uniting the L Rhondda and Ely Vallies with the Smith Wales Railway, at a few miles distance fioin the port of CantilF and to open a new mineral district, one of the rich-st and most important in South Wales, which is at present without the means of transit for its immense and valuable products. It. will pass through the central portion of the great coal field of Glamorganshire, where iron, stone also abounds with the coal in imniense|quanlities, and laying, gelologically speaking, nearly flat, and obtainable, for the most part, by proper levels. The coal, in addition to its beini; of excellent quality IV r iron making, as is proved at Me thyr and Aheidate, is also, like that of those districts, of the vcry licst Ilcseription for steam purposes, being nearly smokeless, although inflammable; indeed so pre-eminently is the superiority of this description of coal established for steam purposes over any other, that the demand for it far exceeds the supply, and promises, according to the opinion of the most eminent marine engineers, to supersede all others for pin poses of steam navigation. This sour* e of traffic alone will altord a handeome return for the capital inves'ed, as has been demon- strated in evciy instance where even tram roads or canals have been constructed to open the mineral resources of other less promising vallies in Wak; than the Rhondda, which is ceh- bi.itcd for (he abundailce, quality, and lacility of obtaining its productions. An inexhaustible supply of limestone (so necessary for the manufacture of iron, and for agricultural put poses) may be ob- tained by means of this railway, much nearer and cheaper than by any other line. This line will to the increasing population of thetich vales of Ely and Rhondda, a much desired communication with the great market town and poit of Cardiff, Irom whence, at present, they might be said to be almost excluded. It is intended that the linc shall commence at Blaen Rhondda, the head of the Rhondda Valley, and proceed down by a natural pass between the hills at Ffrwd Amws, a distance ol eight miles, where it will enter the Ely Valley, and proceed down (a further distance of six miles) to l.anelay lliitige, ncai Lantrissent, and there join the South Wales Railway, thus opening a communication under the most advantageous cir- cumstances, as to distance, with all the poits in the Bristol Channel. A preliminaiy survey bar, already been made by competent parties, and it: is found that the country admits of highly iavourable gradients, so much so that it is confidently antici- pated that the works will be executed vory considerably under 1 the advertised capital. The landowners along the line are favourable to this under- taking, and the names of many influential proprietors will be found on ths Provisional Committee. No subscriber will be Joswerablc beyond the amount of his deposit until the act is obtained, and then not beyond the amount of Ins sub'ewption. Until an act of Parliament shall be obtained the affairs of this Company shall lie under the control of the managing direeto/a, to whom power is given to allot the shares, and to apply the funds of the Company in payment of all the expenses incurred in its formation, and in the piepavation ol the plans and sections to be submitted to Pailiament. Power will be applied for iu the Act (and in the lilelit. little is hereby given to the managing directors as above) to raise any additional capital, to extend or abandon any part of the line, to make hrallchlllnes, or enter into any arungements, by amal- gamation or othci wise, with any other company or companies, and also to nominate the first directors of the Company. In the allotment ol shares, a preference will be given to landowners on the line, and other parties locally interested. Prospectuses and maps may be had of, and applications for shares may be addressed, in the foim annexed to W. B. James, Esq., Solicitor, 5, Rasinghall-street, London; to W. Morgan, Esq., Solicitor, Bridgend, Glamorganshiie; and to the undermentioned brokers; but no applications for shares will jeceive the attention of the committee unless accompa- nied by reference to one or more of the Provisional Committee, Soltcllol's, or Ihf1 engineers :— London .Messrs. Baileys anil Co. r nil IS Company is formed for the purpose of carrying into I etlect an agreement which has been concluded with the- Monmouthshire Canal Company for the purchase and transfer of the whole of the important interests of that extensive and valuable property. The Monmouthshire Canal Company was first incorporated hv an Act passed ill 17D:J. Two subsequent Acts have extended the sphere of the Company's operations, and their present tramroads, communicating Willi most of the grjjjit iron and coal works of the. district, exceed iifty miles in length, whilst the extent of their two branches of canat is twenty-two miles. During the last, fortv-five years the concern has continued to be one of a highly profitable description, the average annual dividend paid to the shareholders having been, during the: who e of that period, at. the rate of £ 7. Pis. per cent., and dung, last, twenty-live vears the average annual dividend ha«exja|U £ 10. per cent,, being £ 10. per share on the original ^lOOJp^ The value of these shares has, of course, increased wl*Che improved dividends, and the purchase money now apeed to be paid for the whole of the canal property is at the rate of £ 200. per share. qrCure to the Monmouthshire Railway the jmi'chasc present profitable trade of the Canal Company the who e.ot 1^.1^ of a'very ^re:U increuse therein, Company, with intended application of the modern m-escn,. °f V",SaiBP»S'ti,c advancages, this unjertakmg V- ut able from most of the numerous projects now be- ls distin;,m, —that an immediate return will arise toThe shareholders from tin; present works of the Canal Com- Tor a'lon'" time past large sums have been annually expen- ded bv'the Canal Company in solid improvements oi their pro- liertv The last projected improvement is the formation of a line oi' railway upon the modern construction from Newport to Pontvpool, a distance of ten miles; and to carry out this object an Act of the Legislature passed during the last session, and which railway forms a part. of the highly-valuable purchase made bv this Company. .Although by the Newport and Pontypool Railway Act a reduction has been made in the amount of tonnage hitherto payable to the Canal Company, this will not lessen the actual value of the property, ibr it is undeniable that much of the natural trafhe of the Company has been diverted into other channels solely in consequence of the high standard of the rates of tonnage. The recent Act confers on the Company the power which they did not, previously possess, of becoming carriers on their lines, and R. is only reasonable to calculate that by the judicious use of this power, and the vigorous prosecution of the improvements of the existing train-roads, the t; tjtie so alie- nated will be recovered, as well as much new traffu treated. Thus whilst the value of the canal property will be mate- rially enhanced, the freighters will at the same time reap all the advantages designed for them in the recent Parliamentary revision of the tonnages. It is further proper to state that the branch lines intended to have been made and purchased by the Canal Company to the iron, coal, and other works, will also he formed, thereby secur- ing a considerabie. increase of trade upon the main lines. Owing mainly to the obstacles in the way of cheap and quick transit, the endless resources of Monmouthshire have as yet been but very partially developed but. in the face of these obstacles the quantity of iron now annually exported from Newport is not less than '200,000 tons, and of cotfl 700,000 tons. The port, of Newport possesses an extensive trade in the ex- portation of tin-plate and lire-brick, in the importation of iron ores from Cornwall, Lancashire, and Cumberland, and of the agricultural produce from the western counties of England, together with a considerable and improving trade in foreign and English timber, bark, and Irish provisions. Shares to the amount of £ 20,000, in the Newport Dock, form part of the purchase of the canal interest. These extensive Illocks have been eonst.rue.teil in the best possible manner, with a lock callable of admitting vessels of the largest class. In proof of this it. may be stated that vessels of 1,080 tons regis- tered tonnage, have, with ease, entered and been loaded in the dock. The Canal Company have not hitherto afforded any accom- modation whatever to passenger tratiie, consequently 110 revenue has been derived from this usually fertile source of profit, but reference need only be made to the dense resident population engaged in the iron, tin, and coal works of Monmouthshire to prove that, a very great, passenger traffic would be the result, of the introduction into these districts of the modern railway facilities. The general extension of railway communication conteinpla- ted iu Ihe neighbouring districts of Wales and of England, will in connexion with the Lines of this Company, most ad- vantageously open to Monmouthshire uninterrupted intercourse witli all other portions of the kingdom. Thus, whilst facilities hitherto unknown, will he created for the exportation of the mineral wealth of the. locality, the freest admission, will be o-' n'lothe agricultural produce and manufactures of other is of the kingd-nn, for both of which a constant demand evists in the mineral districts. In"t.he allotment of shares preference, will be given to pro- r j,!
