The said sum of £ 32,COO shall be applied in manner following :—That is to say ia) In discharging all principal monies due and ow ng by the company on existing mortgages on the tramway undertaking of the company which together amount to the sum of £lO.4ùJi. Lib) In purchasing and providing the rolling stock which may be required for the efficient working of t-ho tramways purchased by the Corporation, iciln purchasing and providing swh transformers at a cost not ex- ceeding £ 5.000 as may be required for work- ing the tramways purchased ur constructed by the Corporation by electric power, (d) In I paying the costs, charges, and exper.ses of the company in connection with, and in pur ¡ snance of tnis agreement so far as the same are properly chargeable to capital. (e) A sum not exceeding £2.000 for meeting contingen- cies arising during the iirst three years of the lease hereinafter referred to so far <is such contingencies are properly chargeable to capi- tal, and if) Such sum as may be required for making such necessary alterations of the depots of the company as may be approved by the Corporation. It at the expiration of the firs; three years ill the said lease any por- tion of the said sum of £ 32,000 shall not have been applied in accordance with the provi- sions of this article the same shall be paid to the Corporation 3. In the event of the said Bill passing into law in the session of 1897 the Corporation shall within the time thereby limited or within any authorised extension thereof con- struct the tramways thereby authorised and the Corporation shall in the like event with- in one yrsir from the passing of such Bill or within such further period as may be agreed N, relay the tramways to be purchased by them as aforesaid construct the additional passing j places and double lines to be authorised adapt I such tramways for working by electric power and provide ail buildings machinery posts conductor? and plant (other than the trans- formers and the cars)required for such work- ing. 4. The company shall on r before the com- pletion of the purchase pay and discharge all debts and iiabi ities due from or payable by the company or affecting their tramway under- taking other than the principal monies due and owing by the Company on existing mort- gages on the tramway undertaking of the com- j pany, and while any such mortgage shall be I subsisting the company shall dtJy and punc- tually pay the interest, thereon as the same accrues due. I 5. The company shail purchase and provide all such rolling stock as shall for the time being be reasonably required for the working of tne tramways purchased by the Corporation and demised to the company in pursuance of the provisions of this agreement and the Cor- pora,tioa shall if required by the company purchase and provide all such rolling stock as I shall be rea.v.naWy required by the company for the working of the tramways constructed by me Corporation and demised to the com- pany as aforesaid such rolling stock in all cases to be of such nature and description as I the company shail reasonably require and the I Corporation shall reasonably approve. 6. The Corporation shall concurrently witn the completion of the purchase grant to the "ompany and the company shall accept from the Corporation a lease ill the form of t'ie draft lease set out in the schedule hereto of the tram- ways agreed to be purchased as aforesaid aid of the additional t am ways to be constructed by the Corporation in pursuance of tins agree- j ment and of the rolling stock if any to be purchased and provided by the Corporation as aforesaid but so that the company shall not be entitled to possession of any such additional I tramway as aforesaid until the same shall be complete and fit for working. The term to be grdcited by such lease shall be a term of 21 ors to be computed from the date fixed for the completion of the purchase. The rental to be paid by the company to the Cor- poration under such lease shall be payable quarterly and each quarterly payment shall consist of a sum equal to the aggregate amount of the sum? following that is to say— u. ) The interest payable in such quarter by the Corporation on all the capital monies mentioned or referred to in the succeeding sections of this article together with a sum eoual to one-half per cent, per annuiu upon such capital monies. (ii.! Such a sum as would if contributed quarterly for a period of 30 years to a staking fund to be accumulated during such period at 3 per cwnt. per annum with quarterly rests produce at the Hcpiratioa of such period aii amount sufficient to enable the Corporation to re-pay the capital monies borroTPed by the Corpora ¡ tion for the purpose of paying the pur- chase money payable under this agreement I and for the purpose of purchasing lacd and property for widening and widening any street or road irquinsi to be widened by Parliament or the Board of Trade as a condition precedent to the lL.e. of electric or mechanical power on any of the tram- ways awl for defraying the costs of the said Bill or Bills (as the case may be) and any costs incurred by the Corporation in connection with or in i-onsequeooc of this agreement. Any question which may arise in relation to the number of cars to be run and tbe times at which the same aie be run and the times at which the same are to he run shall be determined Oil the applica- tion of the Corporation or of the company by a- tramway manager to be appointed in default of agreement by the Heard of Trade. 11. The purchase of the tramways shall be completed a1? soon as the Corporation I' shall have relaid the tramways to be pur- chased by them as aforesaid constructed the additional passing places and double lines authorised adapted such tramways for work- ing by electric power and provided the building machinery posts conductors and plant for such working and shall be prepared to supply electrical energy. The Corporation. shall give to the company at least one calen- dar month's notice m writia of the day fixed for completion. Upon completion the company shall execute and deliver to the Corporation a proper assurance of the pre- mises hereby agreed to be purchased and the Corporation shall execute and deliver to the company a lease of the premises Lereby, agreed to be demised and the company shall execute and deliver to the Corporation a countemart of such lease. 14. incept as in this agreement provided nothing herein contained shall prejudice or nff ct the rights and liabilities of the com- pauy or of the Corporation under any of the Acts relating to the Swamaea Tramways cr otherwise other tban the rights ar. i iiabiities of tiie Corporation and the company respec- tveiy under sub-section (5) of section 12 of the Swansea Tramways Act 1882 which sub- eecrion shall cerise to be Jvpplicable 01 thci I completion of the purchase. 15. If any dispute difference or question shaii arise between the company and the Cor- poration touching the construction meaning or effect of these presents or any clause or thing aerein contained or the rights or lia I bilitiss of the poinies hereto respectively I' under these presents cr otherwise howsoever in relation to the premises then every suci. dispute difference or question shall be re- ferred to the arbitration of two persous one to be appointed by each party to the refer- ence or their umpire. Ant these presents shall be deemed to be a submission to arbi- tration within the Arbitration Aet 1889 or any statutory modification or re-enactment thereof for the time being in force the pro- visions whereof shaii apply as far as aoplic- able. 17. This agreement is entered into subject to couiirmation by Parliament and shall for the purpose of such confirmation be scheduled to the said Bill and the company shall render such assistance as may Le required ior secur- ing the passage of the said Bill into law. If the said Bill or a Bdl containing similar pro- visions shall not be passed in the session of 1897 this agreement shall upon the termina- tion of that session without such Bill having been passed become absolutely void and the company and Corporation respectively shall not in any way be prejudiced thereby. 18. This agreement shail be subject' to. such alterations as Parliament may tQink fit to make therein but if any material altera- tion be made therein it shall be competent to either party by notice in writing to the other to rescind the same in which case the I same shall be rescinded and of no effect and the Bill in Parliament as far as the same re- lates to this agreement shall not be Droceeded with.
