GREAT WINCHESTER-STREET, LONDON, E.C. ABRIDGED PROSPECTUS. This Company has been formed for the following purposes :— 1. To acquire and extend the large and successful business of the Gower-Bell Telephone Com- pany, Limited, and to purcliasc the six Letters Patent on which that business is founded. 2. To erect and maintain Telephone Exchange Systems in London and throughout the United Kingdom. 3. To erect and maintain Private Telephone Lines. 1.—MANUFACTURING BUSINESS. The Gower-Bell Loud.-Speaking Telephone, of which this Com pan y will bccomc the sole proprietor in this country, has acquired the distinction of being the special form of Telephone which has sustained the severe and lengthy tests instituted oy I he Postal Telegraph Department, and has been found to meet the official requirements in respect to loudness, simplicity, and permancnce of operation. It is a], o the only Telephone which has been successfully used on difficult underground telegraph lines, and is available in many places wln rc the circumstances are such that no other Telephone can be permanently and satisfactorily used. It has been officially adopted by the Postmaster-General, who has made a. contract with the Gower-Bell Company for veiy large supplies of these Telephones for the use of his Department, which is now actively engaged in introducing them throughout tne United Kingdom. 5,000 Telephones under this contract are in course of delivery, and, in addition thereto, the authorities reserve the right to require from the Company further supplies to the extent of 15,000 Telephones, to be delivered by December, 1883. The Gower-Bell Telephone is largely used by the Socicite des Telephones ue Franco, which, under Govern- ment concession, has the monopoly of erecting Telephone lines in Franco. It is idso being successfully introduced elsewhere on the Continent, and has been approved in preference to all others by the Indian Government Teipgraph Department, from whom and from the authorities in several of Her Majesty's Colonies con- siderable orders have been received.U. The business of the Gower-Bell Company is oi rcceiit growth. Some idea of its prospects may, however, be gatheied from the fact that the minimum net protits realisable within two years from contracts alroaay made and in course of execution, and which become the pro- perty of this Companj', excced the sum of £ 00,000. It may be mentioned that the Company has also entered into several conditional contracts f u future deliveries of Telephones at prices which wuul i leave -t-.ftirtlier proJit within three years of over ££)I),f\i)O, Those estimates are irrespective of the current sale of instruments for home and foreign use, which is consiuer- ablo, including, as it does, orders from most of the lead- ing railway companies. The profits from these sources, and apart from contracts, have averaged recently from £ 10 to £ 50 dailv. r.—TELEPHONE EXCHANGES. The Gower-Bell Company has hitherto confined itself solely to the manufacture and sale of Telephones and Telephonic Apparatus in various countries, but this Company proposes by the present issue to raise sufficient capital to promote the second of its objects, viz., the establishment in London and in other Towns in the United Kingdom of Central Office or Exchange Systems unier the licences which the Postmastcr-Gcnenl, has, in the House cf Commons, expressed his willingness to grant to local organizations. Several Exchanges furnished with the Gower-Bell Telcpbon3 have been already successfully started, and are giving ,tQat satis- faction. 3.-PRIVATE LINE BUSINESS. Besides the Exchange Business, there is an exceedingly remunerative field for Private Telephone Lines, such as between private iesidence3, factories, warehouses, stables, and lodges in hotels, and the offices of mer- chants, bankers, and brokers between fire and police tatlons; on railways as part of the signalling apparatus; in dcckyards and works covering large areas between lighthouses and the shore; in the Army for superseding I the ficli telegriplis in the Navy between vessels and boats, and for (living purposes; in mines from the surface to the undeiground workings; and generally, for the multitude of cases where quick and easy com- munication will facilitate the bu iness and pleasure of life. In every one of the instances named, the Gower- emplaySc^iui'iTclifccts agreafc"saving in labour and loco- motion. The Directors make no estimate of the profit to be derived from tLc Exchange and Private-Line business, but simplv express their conviction that it will be very considerable. They would also refer to the fact that the United States Company is paying Dividends at the rate of 2d per cent per annum oil its paid-up Capital. This Company acquires the business of the Gower-Bell Telephone Company, Limited, with all its Contracts and Agreements for the supply of Telephones, and the sole right to its Patents iu the United Kingdom for the sum of £ 200,000, Of this the Vendors agree to take itloo, ooo in fully paid-up Shares at the option of the Directors. Prospectuses and Forms c f Application for Shares may be procured at the Offices of the Company, and of the Bankers, Solicitors, and Brokers. Applications may also be made by forwarding to the Company's Offices letters in the following form :— To THE DIRECTORS OF THE BRITISH GOWER-BELL TELEPHONE COMPANY, LIMITED. A Prospectus having been issued of a company entitled the British Gower-Bell Telephone Company (Limited), in which it is stated that the Company will have the right to unlimited supplies of telephones manufactured under arrangements with the United Telephone Company (Limited), the Directors of this Company think it neces- sary to advise their shareholders anti warn the public as to the true facts of the case. The only right which the new Company now advertised has to a supply of Telephones from this company is under an agreement dated the 2nd of September, 1879. not referred to in the said prospectus, whereby this Company's predecessor, the Telephone Com- pany (Limited) agreed, as this Company is also ready to agree, with any approved parties to liceuce the Sale of Telephones for a Royalty. That agreement contains the following clause :—The licensees or their assigns are not to use, except under tho provisions of a separate agreement with the Company, any of the Telephones for which they require licenses under this agreement upon central olficc or exchange systems (vide- licit systems) by which the telephone lines of subscribers converge to a central office or offices for the purpose of enabling' those subscribers TO communi- cate with each other from their respective houses through the medium of such central office or offices. Xo such separate agreement as referred to in the above clause has evier been granted during the period < i over 18 months. Since the date of the agreement the telephones liceiised under it have not amounted to 2,500;including those for export. Proceedings w ill he taken ag'amst the new company now advertised to prevent their using telephones licensed under this acrrcc- prevent their using telephones licensed under this agrce- ment for exchange purposes. The telephones so licensed are the Be 1 Instruments only, the license not extending to the carbon transmitter under the Edison Patent., the Edison transmitter in combination with the Bell receiver constitutes the complete telephone now used by this Company, and. as the Directors believe, by at least 93 per cent, c-dl the users of tele- phones in Greit Britain, the Continent, and America, proceedings have rl ready been t:dt2.n against the Gower-Bell telephone Company, Limited, for infringing the Edison Patents, which were only discontinued by reason oi a pen-tin" apolieation for t disclaimer of a part kl f(1-ic i).-iteiit not ra'ating to the transmitter) and will be resumed as soon as the disclaimer has been comnleied.
